I achieved the 4-hour work week by Tim Ferris before there was a 4-hour work week by Tim Ferris.

I set out to achieve it in 2003, despite everyone telling me it could not be done. 

And there I was, a 23-year-old enjoying the entrepreneurial genes I had inherited from my serial entrepreneur father, building out what I'd later learn was a CPaaS ("communication platform as a service").

For most entrepreneurs, the first 9 businesses fail and the 10th succeeds. But for me, it was that first one which succeeded (and ran strong for 21 years)!

🎂 Some people correspond with me like they are inviting me to a séance. 

They say "Hi, how are you?" and then descend into radio silence. Its like I am being emotionally summoned but I don’t know for what.

On any given day, I am juggling client calls, drafting, reviewing, putting out fires that were not even smouldering an hour earlier and checking my team are not quietly drowning.

If I gave everybody an individual, reflective life update, I am fairly certain my client work would evaporate. Besides, I get paid to talk and I can talk for a while ... so there is that practical hurdle.

The truth is that you don’t really want to know how I am. You want something from me, which is perfectly fine. Just say it upfront so we can skip the emotional séance and get to your actual point faster. 

If I can help or respond to your actual question sooner, this is what I prefer. I respect clarity far more than digital small talk. You are not being rude - -  I will respect you far more for being upfront with me.

For the genuinely curious, last week involved two very sick and very smelly fur babies, high cortisol levels and late night emergency vet visits. We stabilised over the weekend. Everyone is now caught up on sleep, well washed and fed.

Thanks for thinking of asking me "Hi, how are they?" ... now you don’t need to 🐶 

Today however, I am in much better spirits as I celebrate the birthdays of my Partner Ahmad Al-Khalil and our Operations Executive, Blue Atienza ... with what will inevitably be an unapologetically large cake. So for today, I am demonstrably sugar-fueled, cortisol-free and happy.

🍉 A young lawyer once asked me, very casually, over coffee,

“Is it really that bad if we give a little referral fee? It’s just how business is done.”

It is not always bad but you can easily wander to the wrong end of the line if you are not careful. The moment money influences who gets recommended, you are selling access. This is a classic act of bribery, punishable under the UAE Penal Code. 

These are some examples of what bribery looks like:

1. Paying a fee to a bank officer to make sure your bank account is open

2. Giving any type of incentive fee to a government official for a favour or benefit from a government department

3. Giving a procurement manager 5 percent personally if she awards the contract to you.

4. Paying an expert to ensure the expert report goes in your favour.

5. An employee steering clients to a particular supplier so that supplier secretly pays her or him per deal.

6. A success fee paid quietly to someone inside an organisation who was supposed to act in that organisation’s best interest.

7. Paying a consultant who has no real role, except that he is close to a decision maker and can influence the outcome.

Always remember to have the courage to not give a bribe and the honour to not ask for one. 

Besides violating the law, it says a lot about the character of parties involved in the bribe, willing or unwilling.

And to clarify to any young lawyer entering the legal industry - no, this is not the norm and not how we do business.

🪢 Had an initial call with a gentleman recently. Very enthusiastic, very entrepreneurial and very confident about doing big business in the UAE.
We are talking multi-million dollar turnover ambitions here.

Naturally, I asked two painfully boring questions:
💡 What exactly will the company sell?
💡 How will it monetise?

Turns out that he wanted to set up a company with no staff, no products and no services. In his words to me "this is a simple setup and it will only be to raise invoices so give me your best price." 

Ah yes! The 'invoice-only' enterprise.  A global phenomenon driven by pure optimism, a deep hatred for compliance and a sheer love for dirty funds.

The UAE does not want shell companies like this. Actually no country does. 

As lawyers, this is where it gets tricky for us. Lawyers cannot draft substance into existence. 

Lawyers cannot contractually manufacture commercial rationale and we certainly cannot sanitise a structure that exists purely to route income. 

If you add AML regulations, economic substance requirements and licensing restrictions into the mix, suddenly an 'invoice-only' company becomes a liability magnet. Especially in the UAE, where compliance is significantly tight.

Of course, somewhere out there, an agent is already typing, “Sir, no problem, we can make this happen ....fast and cheap.” And when the regulators do come knocking, perhaps he can fold all those invoices into swans and pretend they are part of his origami portfolio.

🥥 Some days, the way people talk about the UAE Golden Visa, you would think it came with a throne, tax exemption and diplomatic immunity. The PR/marketing of various agencies is not entirely wrong, it’s just… selectively enthusiastic.

So, in the spirit of responsible myth-busting, I’m going to ruthlessly pop a few golden bubbles that have been floating around lately.

🚫 MYTH 1 - A Golden Visa gives you the right to set up a business. 
The Golden Visa is a residency permit not a business license. The authority that issues you the Golden Visa is federal and very different to the authority that will ever grant you a business license which will be at Emirate level. You still need to comply with existing licensing and regulatory requirements.

🚫 MYTH 2 - Its forever!
The Golden Visa can be renewed but renewal is never automatic or guaranteed. It remains tied to eligibility criteria and documentation. Authorities have full discretion to revoke it if your activities breach UAE laws or public interest policies.

🚫 MYTH 3 - It grants you tax exemption
Lovely in theory, inaccurate in law. The UAE’s corporate tax framework applies based on business activity, not visa type. If your entity is within the taxable scope, the rules apply.

🚫 MYTH 4 - You can sponsor unlimited family members
Residency sponsorship still depends on income thresholds, proof of accommodation, valid health insurance and other documentation. A golden visa does not mean unlimited extensions.

🚫 MYTH 5 - You can stay out of the country forever
Immigration policies evolve. “Forever” is not a legal term. It’s a myth with good marketing. Residency validity will always depend on changing regulations and compliance.

The Golden Visa is an exceptional privilege granted by the UAE government but like all visas it has rules and regulations that attach to it. Do not even think of treating it like a loophole. It does not make you untouchable and definitely does not grant any sort of blanket exemption from laws.

🍁 5 IP mistakes I keep seeing (that Investors notice immediately)

As a commercial lawyer in the UAE, I have seen businesses fail because they don’t actually own what they are building. In the age of tech and AI, how can you ignore IP?

I want to share some of the IP mistakes I see over and over:

1️⃣ No clear IP ownership  
Founders, employees and freelancers build the product… but nobody signed IP assignment agreements. When someone leaves, so does the code, brand or design.

2️⃣ Brand with no trademark  
Spending on branding, website and marketing before checking if the name is even available or registrable in the UAE or GCC. One conflict and you will need to rebrand (this costs money) + may incur legal risk.

3️⃣ Using old employer’s work  
Founders reuse code, templates or pitch decks from previous jobs. That can be a straight IP infringement problem and a due diligence red flag. Investors may love drama but not YOUR drama.

4️⃣ No NDAs 
Sharing roadmaps, pricing models, processes and product screenshots with “potential partners” without NDAs or proper contracts. If it’s not protected, it’s not really a trade secret.

5️⃣ Copy-paste global terms to the UAE  
Using templates from US/EU without adapting to UAE law, local IP rules or free zone vs mainland differences. Even using outdated templates while the laws have evolved.

Serious investors are now doing deeper IP due diligence. If you can’t show clean ownership and protection, your valuation and deal terms will be impacted.

If you are a founder in the UAE and your company does not actually own its IP, that’s your real risk right there. Never mind the competition.

I have seen my fair share of horror stories. If you tell me your IP horror story (if you have one), I’ll roast it for free. 😏

Before you let anyone into your house with chemicals, scissors, knives, ladders or glitter, ask yourself one question:

✅  Are they licensed?

Licensed businesses pay for approvals, inspections, compliance, visas, insurance and accountability.

When we choose licensed providers, we are buying something far more valuable than the service itself - we are creating an ecosystem that runs in a legitimate manner.

When we support and pay for unlicensed services (or goods) we are undermining an entire legal system.

We are also giving away our rights when we work with unlicensed suppliers - our rights under the law dissipate when we use illegal services.

Cheap services are expensive the moment something goes wrong.

And don't pretend you don't know I'm on about.

10 Everyday Legal Risks in UAE

🪭 TikTok’s infinite scroll might cost ByteDance billions and possibly what makes it addictive could now make it illegal. Also learn, why this affects Product Managers anywhere in the world.

The European Commission, acting as the EU’s enforcement authority under the Digital Services Act (DSA) has preliminarily decided that ByteDance's business model may be working a little too well because some of the app’s core design features appear to promote compulsive use and risk user wellbeing, particularly where children and vulnerable users are concerned, which is exactly where regulators lose their sense of humour. 

These features include:
 • infinite scroll
 • autoplay
 • push notifications
 • highly personalised recommendations

Regulators argue that, by rewarding users with endless content, TikTok’s design can shift the brain into autopilot mode and contribute to compulsive usage. 

ByteDance denies the allegations and has signalled it intends to contest the findings through available legal channels, which is expected. No one ever agrees with a regulator, voluntarily.

The European Commission has the power to investigate, issue formal charges and fine tech companies up to 6% of global turnover if they fail to comply with requirements around user safety, design choices, transparency and child protection. They can also levy additional penalties. This could mean BILLIONS of EUROS for ByteDance.

In extreme cases of DSA non-compliance, the EU Commission has the power to order suspension of services across the EU. 

The investigation began in early 2024 and has reached a critical enforcement milestone. The findings are preliminary, not final. ByteDance has the right to respond. If the Commission proceeds to a final infringement decision, enforcement, including fines and mandatory design changes, may follow. 

💡 Why this matters for tech platforms in the UAE (or really anywhere else in the world):

If a platform has EU users, DSA compliance is mandatory, regardless of where the platform is licensed.

The Product and UX teams need to sit with the Legal teams ideally before design/feature decisions are locked in. Product choices carry massive legal liability. See how in the case of ByteDance, a feature that innocently started off as infinite scroll is now a risk factor.

Ironically, what the EU Commission is really saying to ByteDance is:
TikTok. TikTok.

⚜️ Regulators do not have a sense of humour and here are five times they proved it beyond reasonable doubt:

1️⃣Amazon, the everything-store behemoth, had to cough up €746 million to Luxembourg’s data watchdogs for GDPR violations. Those monthly Prime subscription fees they collect from us would have come in handy to pay this one.

2️⃣Meta (née Facebook) got smacked with a €1.2 billion fine by the Irish Data Protection Commission under GDPR for shuttling EU user data to the USA. Regulators are not as into global connectivity as you may be led to believe.

3️⃣The first big penalties under Europe’s new digital competition regime saw Apple fined €500 million and Meta €200 million for restricting app choice and coercing ad-consent, respectively.

4️⃣In 2022, Twitter agreed to pay $150 million after the FTC and DOJ found it had used phone numbers and emails collected for account security to target advertising, breaching a 2011 privacy order.

5️⃣The Irish Data Protection Commission formally adopted its decision against TikTok in September 2023 for GDPR breaches relating to children’s accounts. The fine of €345 million was publicly announced.

As you can see, regulators do not like and will not get anything remotely humorous and instead they excel at making sure everyone else stops smiling too.

Now do you see why I bury my nose in laws? 
Im too busy looking for regulator punch-lines!

The ones building serious infrastructure AND the ones who think Terms & Conditions are decorative items.

“We do not store personal data.”
“We only use anonymised datasets.”
“I retain ownership.”
“It is just a standard code.”
“I don’t know.”

You cannot build cutting edge technology on lazy legal foundations.

If you do not understand your data flow, your licence scope, your model training sources and your risk allocation, the only thing you have trained effectively is your exposure.
