The IRS loves single-member LLCs.
Because they’re the easiest ones to crush.


They audit them more than almost any other business type.
Schedule C filers are low-hanging fruit.

Most owners form an LLC and think they’re safe.
But to the IRS, a single-member LLC doesn’t even exist.
It’s a disregarded entity.

They don’t need to “pierce” anything.
they just audit you.

And here’s what kills most owners:
The receipts exist, they just don’t hold up.

Gas stations.
Meals.
“Client entertainment.”

Looks normal until the agent asks for a mileage log, a calendar, or a client list.
Then it all falls apart.

You’re not being dishonest.
You just look like every taxpayer who is.
And that’s enough.

The IRS disallows everything.
Then adds penalties.
Then interest.

A $10,000 write-off can snowball into a $25,000 nightmare.

What can you do?
You can’t out-argue an algorithm. You out-structure it.

Add a second member, even 1%.
Now your LLC files Form 1065 with Schedule K-1s.

You move out of the Schedule C danger zone.
Your audit odds drop. 

Not because you’re gaming the system,
but because your structure signals legitimacy.

Partnerships look real.
Sole members look suspect.

The strategy isn’t about hiding.
It’s about not looking like low-hanging fruit.

Most people use AI like Google. They ask once, get it wrong, 
and walk away feeling smarter. 
But AI isn’t the one that stopped thinking.

The real skill in using AI isn’t getting answers.
 It’s learning to explain what you actually mean.

I needed the exact second of sunrise, not the standard time, 
but the instant it becomes visible to the human eye.

There’s more than one kind: astronomical, visible, apparent…
each shifting with refraction, terrain, temperature, and horizon shape.

It took an hour and 25 pages of back-and-forth 
before ChatGPT matched the results I’d relied on 
a mathematical genius to calculate for 30 years.

The problem wasn’t AI’s intelligence, it was my clarity.
Once I defined which sunrise I wanted, it nailed it.

Now it does it instantly, and even reminds me daily.
If your ego is still competing with AI, you’ve already lost.

End the duel,

The SEC doesn’t care what you call yourself
 “connector,” “finder,” “capital raiser,” “partner,” or “guy who knows people.”

It only cares about what you do.

And if your compensation depends on dollars raised, 
you’ve crossed into broker-dealer territory, 
which requires a securities license.

No license?
🚫 No percentage.
🚫 No “finder fee.”
🚫 No success-based anything.

So you claim to be a GP,
if your only role is bringing investors,
you’re not a GP.

If the relationship didn’t exist before the deal,
you can’t use 506(b).

If you send documents or discuss terms,
you’re soliciting.

And none of this depends on intent.
The SEC only looks at behavior.

Most people have no idea they’re already offside.

But Wyoming’s courts?

Most people are fine in Wyoming.
Most people never see a fight.
I send almost everyone there.

You pick based on survival.
