Valuation tip: document your processes.








Documenting your processes isn't about just having them in writing.

But about everything that comes from actually going through the motions:

1. You get all stakeholders together,
2. Ideally map the process through a process workflow chart,
3. Identify key triggers, tasks, information and material flow (if applicable),
4. Create quality gates in the process: if / then, and how to measure,
5. Inevitably you'll get to a point where you want to measure something:

KPI's are born (key performance indicators),
People understand their responsibilities better,
Previous issues are aired and you'll end up fixing them.

Not only does your work become consistent,

And your results,

But just think of how easy onboarding new associates will be.

Although I've got a number of great businesses listed for sale,

This one stood out from the moment I connected with the founder:

A hard working, very disciplined entrepreneur, engineering background,
Very clean financials, his add-backs clearly identified,
Consistent growth throughout its history,
Unique product offering, own brand,
Design for Lean Six Sigma,
Tight run ship.

It's gotten a lot of attention: over 25 leads the first week alone.

Then offers started pouring in.

One of them particularly stood out:

The seller decided to go at it on his own.

'Paul' reached out to me, interested in valuing two of his businesses.

One of them wasn't quite ready to sell in my opinion, it is a great business model but the owners haven't given it enough time to flourish, 

The other one is a great model, especially here locally in Miami, plus it includes a nice chunk of real estate in a prime location.

We went through the whole exercise:

Many people say I should charge for it. I think it builds trust and rapport.

Well, yesterday I found out he decided to sell on his own.

...now I'm excited: I know for sure he will list with me.

Why?

a. We didn't go into the detail required to build a strong deck, ideal buyer profile, messaging framework to speak to those ideal buyers, etc.

b. He's doing zero marketing. We market on all platforms, and reach out to our large list of vetted buyers.

c. He doesn't have the bandwidth to handle the leads coming in, collecting NDA's, sharing a deck / CIM, setting up a data room to share financials, filtering out the buyers through Zoom meetings, etc.

Not to mention what comes after an offer is accepted, due diligence starts, and the whole deal has to be prepared for closing...

Also: buyers are prepared. For some of them, this is what they do for a living.

He will hit a wall.

I just spoke to a prospect that had an aggressive demeanor from the very first hello.

Let's call him: 'Lucifer' (good match).

Well, Lucifer's got multiple businesses running under a single LLC.

And all the P&L's are...of course: all together into a single accounting system.

In trying to create an accurate recast of this business, I ask him to separate them, or tell me how expenses are distributed.

He won't. Told me if I'm a 'real broker' I should be able to sell this business for $x dollars.

I explained why, and told him any good buyer needs to be able to verify the info.

Then went on to tell him how most buyers will go through the SBA for this specific opportunity size.

He got upset: "Ohhh no, no SBA, I'm not financing anything!!!"

(I further explained).

Then a voice within said: you want to help, this guy doesn't want to be helped.

Moving on.

Would you imagine how buyer seller meetings will go?
Or going through due diligence with this guy?

Another high valuation tip:

Choose your clients wisely! There are BAD customers!

...and for God's sake: don't be a 'Lucifer'.

Valuation advice: learn to say "NO" more often.






Right after going through determining current status, vs. desired vision on my consulting engagements,

(The gap analysis).

I start working on figuring out what needs to go.

What needs to stop.

Most founders think me coming in means more to do.

They're asking for the 'adders',

And are surprised when I tell them we're subtracting.

Growing when you've got proof of concept lies in your ability to laser focus.

Double down on those things you're best at,

While removing those that just create complexity for your organization,

Even if that means firing a few customers.

(It usually means doing so).

Next time you think of taking that next order "to help",

When you know how much of a headache it was last time.

And when you're not even sure you made money on it.

Say no.

It's not easy, but the first time you do it will open the floodgates,

TO FOCUS.
