My role of Director, in agreement with other members of the Board, is to select, evaluate and approve the appropriate compensation for the manager / conducting officer of  Funds (UCITS) and Management Company ( Man.Co. PSF ), to approve the financial statements of the Fund(s), and recommend or strongly discourage mergers and acquisitions. As a member of the Board, one of my responsibilities is the development of internal and / or management audit committees. I was confronted with the selection, hiring, and the decision to work with an external audit firm.

However, my main responsibility as Director is to protect the shareholder investments and ensure they receive a decent return on their investment. This responsibility I exercised through the control of the application of the ‘Compliance’ rules,  the investment policies (Risk Management), and the enforcement of AML processes ( Anti Money Laundering). In my independent Directorship, as I am not under pressure, and I am therefore more likely to act in the best interests of the shareholders.

As independent Director, my skills in international affairs are helpful to my clients.

As a member of the Executive Committee of the Bank, I am part of the key executives representing the functions, the Bank's businesses.

My duties as Head of the "Corporate & Fund Services" meet the management of services like Fund Administration, NAV Calculation, Pricing Agent, Transfer Agent & Registrar, Paying Agent, Domiciliation Agent and also Fiduciary services such as Domiciliation, Accounting and Legal Administration for holding and Management of accounts and banking relationships.

I also insure the coordination and the creation of regulated and non-regulated vehicles (UCITS, SIF, SICAR, and Bond incorporation), as well as the merger, liquidation of funds / companies. Which implies the implementation and control of pricing.

My expertise allows me to fill mandates of Director for Holding companies (Soparfis, SPF, SPV) and Investment funds (SIF, SICAR, SICAV), not to forget some mandates of Conducting Officer of Investment funds and / or management companies.

PHOENICI Group was a company registered at the AMF (Autorité des Marchés Financiers), which offered various services in the international financial services sector. Through the past experience of its Founder, Giovanni Patri, and its partners (Lawyers, Banks, Asset Managers,…), the company managed various interesting projects like:

1. Creation of a self managed UCITS 4 Fund with multiple sub-funds for Suisse and Estonian investment managers;
2. Analyze and development of a US Real Estate Specialized Investment Fund;
3. Consultancy and financial intermediary for the merger and acquisition of well known financial group (Bank & Asset Manager) which head office is located in the Ticino canton (Switzerland);
4. Consultancy and financial intermediary for the merger and acquisition of an ultra luxury car brand (initially price for a single car 850’000€); 
5. Search of providers and registration to the Luxembourg stock exchange, for different 'Notes Issues' for more than 2,5 billion USD value and for client located in the US, South America and Russia;

PHOENICI Group has been involved in so many different projects that it is impossible to list them all and also for confidentiality  
reasons. These various large-scale projects have been conducted with the knowledge of its founder, Giovanni Patri, of international finance and political sensitivities .

Self-taught and Financial Executive Director, highly qualified, with 15 years of experience in international finance management, in the investment funds industry and fiduciary services.

Since 2010, I am authorized in Luxembourg by the Commission de Surveillance du Secteur Financier (CSSF), as Conducting Officer and Director of "Management Company", and since I was also approved as multiple Director of investment funds (SICAV, SICAR, SIF). I am also Director of Soparfis, SPF, SPV (Securitization). In 2011, it is the Autorité des Marchés Financier (AMF) in France, which authorized me as a Financial Investment Advisor (FIA).

Results-oriented, with proven experience in planning, I implemented solutions to business opportunities. My talent for proactively identifying and resolving problems helped to reverse the negative trends in sales, legal and compliance, control costs and maximize productivity. I have developed strategic plans for the implementation, operation of customer service and product support. Follower of crisis management and negotiation, I proved my ability to go up struggling companies.

To protect the data of investors, I worked for my entire career in compliance with anti-money laundering process (LAB), configuration of KYC guidelines (know your customer). Along with my financial career I did extensive research on identity theft. In 2011, the Institut National de Propriété Intellectuel (INPI) established a flattering industrial diagnosis on the methodology of  "Identity Theft Prevention" that I developed.
