For many years, I used a workforce overseas through third-party vendors. 

But prior to COVID, I decided to bring all the work back to the UK.

Why?

I had minimal control over the output, with offshore costs rising from the vendors, and I felt I could do it better back in the UK.

How wrong was I?

COVID hit, and I couldn’t find the right people to do the work in the UK, so I decided I was going to go global again.

But this time through setting up my fully owned overseas entity, where I could control costs, but MOST IMPORTANTLY, CULTURE.

Here is why the "entity model" wins on culture:
• 𝗕𝗲𝗹𝗼𝗻𝗴𝗶𝗻𝗴, 𝗻𝗼𝘁 𝗷𝘂𝘀𝘁 𝘁𝗮𝘀𝗸𝘀: Contractors often feel like outsiders. Employees feel like they are part of the mission.
• 𝗢𝗻𝗲 𝗧𝗲𝗮𝗺, 𝗢𝗻𝗲 𝗦𝘁𝗮𝗻𝗱𝗮𝗿𝗱: No more "A-team" at HQ and "B-team" overseas. Everyone gets the same care and path to grow.
• 𝗦𝗮𝗳𝗲𝘁𝘆 𝗯𝗿𝗲𝗲𝗱𝘀 𝗹𝗼𝘆𝗮𝗹𝘁𝘆: When people have a real, local contract, they feel secure. When people feel secure, they do their best work. Period.
 
𝗧𝗵𝗲 𝗕𝗼𝘁𝘁𝗼𝗺 𝗟𝗶𝗻𝗲:

You can’t build a world-class culture if your team is just a list of contractor invoices.

Don't just give them a job.

EBITDAAAAAAAH!!! 📈

When I worked as an equity analyst in Investment Banking back in the early 2000’s EBITDA was a new term for me to understand having come from an audit background.

EBITDA was the go-to metric, and everyone just seemed to be using this term to help value businesses.

When I quit banking, and then started Samera I started to use this metric to value dental practices. Most people in the sector looked at me blankly, wondering what EBITDA was and telling me dental practices are valued on a % of turnover.

How times have changed in a space of 20 years.

Every dentist and advisor is an expert on EBITDA, yet EBITDA can hide a myriad of sins.

I have seen "adjusted" EBITDA calculated in so many ways, showing how inconsistent it can be, and how it can be easily manipulated.

A long list of add-backs screams poor classification and weak controls. The aim should be for fewer, higher-quality adjustments with supporting evidence. A good accountancy firm knowledgeable about dentistry should have this covered for you.

𝗧𝗵𝗲 𝗴𝗼𝗮𝗹 𝗶𝘀 “𝗿𝗲𝗽𝗲𝗮𝘁𝗮𝗯𝗹𝗲 𝗘𝗕𝗜𝗧𝗗𝗔”, 𝗻𝗼𝘁 “𝗵𝗶𝗴𝗵𝗲𝘀𝘁 𝗘𝗕𝗜𝗧𝗗𝗔”.

Investors are seeking confidence in EBITDA, if you cannot provide this, the valuation multiple applied will always be lower!

Focus on building a clear story about your EBITDA that can be easily explained to ANY investor. 

The simpler the better, the higher the value your DSO will achieve.

When I started out in the Dental sector in 2002, the word DSO (Dental Service Organisation) didn’t even exist.

There were only a handful of dental groups that existed in the UK, and there was much talk that one day one of these groups would list on the London Stock Exchange.

To date, that hasn’t happened.

So much promise, yet nothing.

Yet in the last 20 years, we have seen the rise of DSOs in most markets globally.

The promise of a better business model, improved care for patients and a better career opportunity for clinicians, and of course, a great ROI for investors.

Speaking to many players in the market and having advised DSOs of all sizes over the years, building a successful DSO has never been an easy ask.

And it’s only getting harder. 

Yet the DSO market is expected to grow at a CAGR of 18% until 2034.

In the past, some investors may have been lucky with markets rising, and multiples rising as consolidation occurred. 

But the days of just buying low and selling high as a bundled group are well and truly over.

There are so many things to consider when building a DSO in today’s market.....a very long list.

How to mess up your DSO or Dental Group exit valuation and lose £'000's in 5 steps.

My (an Accountant’s) Perspective:

1. Have your practices using differing legal structures. Some are sole traders, some are partnerships, and some are limited companies.
2. Have a different chart of accounts for each practice on different accounting software systems.
3. Have inexperienced bookkeepers do the books.
4. Have no regular management accounts process in place, with no close date, not tracking key metrics, including EBITDA and with no consolidated figures.
5. Have no monthly team meeting to discuss financial performance.
 
It’s really not rocket science.

Yet so many DSO’s and dental groups fail at the basics - as they see accounting and finance as an after thought.

𝗕𝗜𝗚 𝗖𝗢𝗦𝗧𝗟𝗬 𝗠𝗜𝗦𝗧𝗔𝗞𝗘.💣

The impact is seen at exit, when the buyer wants clarity and an easy purchase and to understand the full financial story.

The outcome: A lower valuation on exit.

Fix the basics, run a tighter ship, have less stress, and get a better exit multiple.

Simple.

But most DSO's still won't do this.

The PDF says “𝘴𝘵𝘢𝘵𝘦-𝘰𝘧-𝘵𝘩𝘦-𝘢𝘳𝘵.”  The reality?  A surgery held together by hope, duct tape, and good intentions.
 
The “𝘭𝘰𝘺𝘢𝘭 𝘱𝘢𝘵𝘪𝘦𝘯𝘵 𝘣𝘢𝘴𝘦” turns out to be the seller’s extended family.  The “𝘮𝘰𝘥𝘦𝘳𝘯 𝘦𝘲𝘶𝘪𝘱𝘮𝘦𝘯𝘵” is a re-upholstered chair from 1994.
 
This is where most buyers get 𝗰𝗮𝘁𝗳𝗶𝘀𝗵𝗲𝗱.
 
At 𝗦𝗮𝗺𝗲𝗿𝗮, we act as your professional B.S. detector.
 
We don’t care what the glossy sales pack says.  We look at the 𝘳𝘦𝘢𝘭 data.  We stress-test the valuation.  And we negotiate the price back to reality.
 
𝗗𝗼𝗻’𝘁 𝗯𝘂𝘆 𝗮 𝗽𝗿𝗮𝗰𝘁𝗶𝗰𝗲 𝗯𝗮𝘀𝗲𝗱 𝗼𝗻 𝗳𝗶𝗹𝘁𝗲𝗿𝘀.
 
And never rely on the 𝘴𝘦𝘭𝘭𝘪𝘯𝘨 𝘢𝘨𝘦𝘯𝘵 to work on your behalf —  no matter how “helpful” they seem.

"Can my dental practice or DSO run successfully WITHOUT me for 90 days?"

That’s a key question every founder or management team should be asking.

Why?

Because that’s what every investor is thinking.

The answer usually reveals everything - decision bottlenecks, governance gaps, leadership depth, and operational resilience.

Financial models rarely tell this story.

But behaviour does.

If the organisation slows, fragments, or panics, buyers price that risk long before it shows up in EBITDA.

This is my advice to founders – whether you are one practice or own 10 practices:

1. Build the practice or DSO without you working clinically – investors don’t want you to be the landowner AND the labourer.
2. Build a decentralised capable team that can make the “right” decisions that enhances value.
3. Take yourself out of the day-to-day decision-making operations and lean on your leadership team.
4. Focus on strategy and ensure your team focuses on operations.
5. Rinse and repeat!

Practices and DSO's that structure their business in this manner always command a valuation premium.

Is it easy? Of course not.

Going uphill is NEVER easy, but the rewards are usually worth it!

That’s what a client of ours was told when he applied for an acquisition loan for his first dental practice.

Everything was moving smoothly toward completion until our in-house Samera dental accountants performed the Financial Due Diligence on the client's planned purchase.

Underneath the "healthy EBITDA," we found:

Huge Director Loan Balances
Fake patients
Missing expenses put through other businesses - to improve the profits
Large intercompany balances
Unpaid taxes 

Financial Due Diligence isn't just a box-ticking exercise. 

It’s an autopsy of the business. 🔬

We find the skeletons 𝘣𝘦𝘧𝘰𝘳𝘦 you buy the closet.
