Most CPAs are great at taxes and terrible at everything else. Taxes are still my focus, but I advise people on what is best for the business overall - not just from a tax perspective. My firm deals with businesses of all kinds, but we especially focus on online and other highly scalable businesses.

My career started in one of the strangest of all places: the railroad (although I wasn’t driving the trains). I worked as a business analyst for one of their marketing departments.

And like most entrepreneurs trapped in a corporate setting, I hated it. Every single minute of every single day.

I hated it so much that I applied to jobs in about 100 different COUNTRIES – thinking that I didn’t just need to leave the job or state – no, I needed to leave this part of the globe entirely.

But thankfully before booking a flight, I realized the corporate setting was the issue. So I started my own CPA firm – focused on advising small businesses on how to grow and become more profitable.

And it was AMAZING. I’d never been so happy in my life. Helping entrepreneurs was (and still is) one of the most fulfilling things I’d ever done. Every day was varied, every situation was different, and I felt like I was making a difference in these business owners’ lives.

But after a few years, something started to bother me. Something it took a few years to fully identify:

While the situations were constantly changing, oftentimes the outcomes weren’t.

In the first few years, most of these businesses would have great growth and success. But due to bandwidth issues, the limitations in the business’s industry, the owners being satisfied with being “self-employed” (read: having a job without a direct boss) rather than truly building out a self-sustaining business – many of these companies failed to ascend past a certain point of success. They plateaued. And for some mix of the reasons above, they were never able to break beyond that initial level of success.

So as a firm we changed our focus. Now we specialize working with those who have scalable businesses. For those we don’t know how to scale, we help lay out the path. And for those who do, we help them navigate that growth.

If your S-Corp is just a shell, don't expect the IRS to play nice.

We’ve been talking about the S-Corp buffer strategy in earlier posts, but here’s the part that often gets overlooked: it only works if your setup actually has substance.

Why do some S-Corp strategies get crushed in audits? Because they forget one thing – substance over form isn't just legal jargon. It's a survival rule.

That means:
→ Your S-Corp should exist for a real business reason. Not just for tax savings.
→ Follow the basics: keep books, do annual meetings, sign contracts.
→ Pay yourself what someone in your role would actually make. Not minimum wage.
→ The S-Corp should be doing something. Invoicing clients, managing projects, handling contracts – anything that shows it's not just paper.

You don’t need a fancy office or a whole team.
But the IRS can smell a “paper entity” from a mile away.

I’ve seen businesses do everything right on paper... but when the IRS digs deeper, they're left with a sad story because there’s no real business activity behind the scenes.

Here’s the difference:
A structure with both form and substance gives you a real shield.
A hollow structure with nothing but paperwork? That’s asking for trouble.

So, if you want to enjoy the S-Corp tax savings, make sure there’s actually a business there.

Most tax strategies have a bullseye on their back. 

But the S-Corp buffer strategy? It’s been hiding in plain sight for years.

Everyone expects the IRS to pounce on clever workarounds. Yet, so far, the S-Corp owning a partnership interest hasn’t triggered a full-scale fight with the IRS. 

No big court battle. No IRS memo saying, "We’re onto you." Just...silence.

Let’s break it down.

All those famous self-employment tax cases – Renkemeyer, Castigliola, and the rest – centered on individuals with direct partnership interests. Not companies. Not S-Corps. 

When the S-Corp itself is a partner and its shareholder takes a reasonable salary, the rest of the pass-through income isn’t being hit by self-employment tax right now. That’s how the rules read today.

Look at Watson v. United States (2012). The taxpayer’s S-Corp owned part of a CPA firm. The IRS didn’t go after the structure. They just argued the owner was underpaying himself. The entire S-Corp-partner setup held firm.

So – does this mean you can do whatever you want? Not even close.

Here’s the truth:
- The IRS hasn’t blessed this setup. 
- They just haven’t attacked it head-on yet.
- Lack of challenge isn’t the same as a stamp of approval.

If you treat it like a loophole, ignore compensation rules, or get too aggressive, you’re painting a target on your back.

What do I tell my clients? Respect the gray areas. Don’t get sloppy just because there’s no court case (yet) blowing things up.

This strategy can work—if you treat it seriously. Push your luck, and next time, you might be the test case.

Stop burning 15.3% of your profit on taxes.

Want the most basic, no-nonsense way to stop paying self-employment tax on every dollar you make?

Just elect S-Corp status.

Seriously.

You file one form (2553).
You pay yourself a reasonable salary, which is still hit with payroll tax.
But then, every dollar left over? You take it as a distribution, and those aren’t slammed with self-employment tax.

It’s totally legit. The IRS spelled it out in plain English.

Simple.
Legal.
Clean.

But before you go all-in, know this isn’t a silver bullet for everyone.

S-Corps have rules:
- Only one class of stock (no creative juggling here)
- You’re capped at 100 owners (so no massive friend group buy-ins)
- Foreign shareholders? Not allowed

If you’re dreaming of complex ownership structures or bringing in international partners, S-Corp might shut the door before you’re even in the building.

So what do you do if you want to save on self-employment tax but that S-Corp door's shut tight?

There are other ways. Some take a little more planning. Some require creative thinking. But do not settle for giving the IRS any more than you have to.

Think PTET is a golden ticket? It can turn into a double-tax nightmare.

Picture this.

You live in State A.
Your business, an S-Corp, operates in State B.

State B says, "Great, your company can pay PTET, and we'll let you exclude that income from tax here."

Sounds good on paper.
But then State A steps in.

Here's the headache:
- You file your State A return expecting to claim a credit for taxes paid out of state.
- But State A doesn't play ball. They might not see PTET as a tax paid on your behalf.

So from State A's viewpoint, it's like you paid no tax to State B at all.

What happens?
- You get taxed at the entity level in State B.
- Then State A taxes you again as if the first payment never happened.

That's double tax for the same income. All because PTET rules don't always line up across states.

The lesson? PTET isn't always a loophole. Sometimes it's a trap.

$100k in profit from your LLC sounds like you’ve made it.

But then, out of nowhere, $15,300 gets yanked for self-employment tax.

Nobody tells you owning a business means paying both sides of Social Security and Medicare. And that’s before you even touch your actual income taxes.

For most owners, that’s the difference between hiring an employee, upgrading your tech stack, or...just getting by.

Here’s the part that trips people up:

Forming an LLC doesn’t magically avoid these taxes. 
If your business is active, the IRS doesn’t care if you don’t pay yourself a traditional “salary.” 
That 15.3%? 
It’s coming for you.

I’ve seen business owners get hit with this surprise tax year after year. 
Money that could have fueled real growth just disappears. 
It’s the classic “you don’t know what you don’t know” – until the IRS sends a reminder.

But here’s the upside: 
There are ways to avoid getting walloped – if you set things up right from the start.

Think S Corp elections.

Everyone loves a good tax election. But here's where PTET (Pass-Through Entity Tax) can quietly bite you.

For 99% of business owners, PTET helps. But in one rare situation, it can backfire.

If these three things are true:
- You already itemize deductions
- You haven't hit the SALT cap
- Your state tax from the business still fits under that limit

You're already getting the full state tax deduction on your personal return.

So making the PTET election doesn't add any new deduction. It just shifts that same deduction from your personal return to your business return.

And here's the kicker: On the business side, that deduction now reduces your Qualified Business Income (QBI). That means your 20% QBI deduction gets smaller.

Let's break it down:
- $50,000 of business profit
- $3,000 of state tax
- Elect PTET, and your QBI drops by $3,000
- Now, your QBI deduction is about $600 lower

This isn't a big hit, but for a handful of business owners, PTET is actually a downgrade.

Most PTET states offer a tax credit.

- You (the owner) get a credit on your own state return.

But a few states take a different route and simply let you subtract PTET income.

Why does that matter?

Because if you're living in one state, but earning in others, this small difference can mean big trouble.

Your resident state might not see that PTET as tax paid by you personally.

No credit. No relief.

You pay tax. Then you pay again.

Example? Say you live in State A but your company does business in State B.

State B uses the subtraction method.

State A shrugs and says, "That's not your tax."

Now you're taxed in both states, on the same income.

PTET isn't just paperwork – it's a risk that can double your tax bill if you're not careful.

Don’t let three little letters cost you thousands.

I see it all the time.

Entrepreneurs set up an LLC and think they’ve built themselves a fortress.

Protection from lawsuits? Sure.

But from taxes? Not even close.

Here’s the big misconception:

Many business owners believe “Limited Liability” means they’re seen as limited partners for taxes.

They aren’t.

And this misunderstanding turns into a nasty trap.

If you’re hands-on in your business – making decisions, signing contracts, running the show – the IRS calls you self-employed.

That means a 15.3% self-employment tax on your entire profit.

Not just on what you pay yourself.

Not just on the money you pull out.

On everything the business earns.

So you might think your LLC is keeping you safe, but that “protection” doesn’t shield your bank account from the IRS.

And yes, I meet smart people every month who find this out too late – when a five-figure tax bill lands in their lap.

LLC = legal shield. 
It does NOT mean you’re a passive, limited partner for tax purposes.

That’s a myth.

Next up, I’ll break down how the IRS really decides who’s a “general partner.”

Ever been surprised by a tax rule you thought you understood?

Doesn’t matter.
If you’re running the show, the IRS sees you as self-employed.
End of story.

Let’s rewind to Revenue Ruling 69-184.
The IRS said: if you’re rolling up your sleeves, making decisions, and doing the work, you’re not just along for the ride.
You’re self-employed.
Forget about dodging self-employment tax just because your business card says otherwise.

Fast forward.
Renkemeyer, Campbell & Weaver LLP v. Commissioner.
This was the go-to move:
“You see, Your Honor, we’re just limited partners. Totally passive. No real work here.”
Spoiler alert: The court saw right through it.
“You’re involved. You’re managing. You’re making things happen. You’re not passive.”
Self-employment tax applies.

Rinse and repeat with Castigliola v. Commissioner.
Different business structure (LLC this time), same IRS logic.
Were the members just silent investors?
Nope.
They managed.
They worked.
They paid self-employment tax.

So here’s the deal:
If you’re active, you’re exposed.
Self-employment tax isn’t going anywhere, no matter what you scribble on your org chart.

Still think you can outsmart the IRS with a new title?
I wouldn’t bet on it.

Did you know one change in tax law wiped out a huge deduction for business owners overnight?

When Congress slapped a $10k cap on the SALT deduction, it wasn't just a line on a form, it was real money lost for entrepreneurs across the country.

But states got creative.

They introduced the Pass-Through Entity Tax (PTET) workaround.

Here's how it flips the script:
- Instead of paying state taxes out of your own pocket (and getting blocked at $10k), partnerships and S-Corps can elect to pay at the business level.
- That lets you turn state taxes into a deductible expense before the money ever hits your personal return.
- Most states then give you a credit for taxes paid by your business, so you don't pay twice.

Sounds like a win, right? Most of the time, it is. PTET usually means real federal tax savings.

But here's the catch,PTET isn't automatic and doesn't always work in your favor.

There are a few traps where it can quietly backfire and cost you money instead.

My advice? Don't just assume PTET will help. Run the numbers and look at your specific situation before you make the election.

Less tax drag, more money staying with you.

Is this a loophole? 
Nope. 
It’s just using the rules the way they were written. 
The tax code already treats S-Corp income this way.

It's not for every business, but if you fit, this structure is a game-changer. 
More options. 
More control.

C-Corp or not? Everyone's talking about that $10M/$15M QSBS tax break like it's an automatic win. But here's the thing – it almost never is.

Sure, Section 1202 can wipe out a huge chunk of capital gains when you sell your stock. Sounds wild, right? But only if you hit every requirement, the whole way through.

Let's break it down:
→ You must run a U.S. C-Corp – LLCs, S-Corps, and partnerships are out.
→ You have to meet every single QSBS rule, start to finish. Miss one detail, you lose the benefit.
→ The exit has to be a stock sale, not an asset sale. (Most buyers? They want assets.)
→ And the sale price needs to dwarf everything you ever took out as salary or distributions.

Mess up any step, and the QSBS magic disappears. No do-overs.

Meanwhile, C-Corps get clobbered with double taxation on profits every year. That hit adds up, year after year. Run those numbers over 5-10 years, and the annual tax drag usually outweighs whatever back-end savings you dreamed about.

QSBS is powerful, but it's not a free pass. And it's definitely not the go-to move for every small or scaling business.

If you’re deciding on your company’s structure, don’t get starry-eyed by QSBS headlines. Look at your growth plans, profits, and likely exit scenarios. The best answer is rarely the one everyone’s shouting about on LinkedIn.

Ever feel like state tax rules are meant to trip you up?

Here's a scenario that comes up all the time...

Let's say you live in North Carolina but own a Virginia S-Corp.

Virginia gives you a tax credit for the PTET (Pass-Through Entity Tax) the S-Corp pays.

So what really happens?

- The S-Corp pays PTET in Virginia.
- Virginia gives you credit for that on your personal return.
- North Carolina, where you actually live, allows a partial credit for taxes paid to another state.

Yes, you might lose out on part of that credit thanks to North Carolina's rules, but here's the kicker: You'd lose that part whether you used PTET or not.

PTET doesn't create a new headache. It's just a different route to the same result.

In most credit-method states, multi-state PTET is basically like paying tax personally. No magic. No hidden traps.

QSBS is a zero-sum game.

You either hit every requirement, or you get nothing. No “almost.” No “pretty close.” It’s pass/fail, and the IRS doesn’t give out partial credit.

Here’s what needs to line up if you want that juicy §1202 gain exclusion:

- Your shares are issued directly by a domestic C-Corp. Not an S-Corp, not an LLC converted later. 
- The investor is an actual human, not an entity or trust trying to sneak in.
- The company’s gross assets are below $50M (old rules) or $75M if your stock is issued after July 4, 2025, with some inflation wiggle room.
- The C-Corp status has to stick for your entire holding period.
- Speaking of holding, the magic numbers are:
 - For stock before 7/4/2025: 5 years in hand.
 - For after: 3 years (50% exclusion), 4 years (75%), or 5 years (100%). No shortcuts.
- At least 80% of the company’s assets must be working in an active, qualified business, not sitting idle or tangled up in something excluded.
- And forget about it if you’re anywhere near health, law, accounting, consulting, financial services, or businesses where the founder’s “skill or reputation” is the main value. The IRS wants real businesses selling real stuff, not just trading on your name.

Miss even one item – maybe you thought your company barely squeaked under the asset cap, or you had a side hustle in an excluded industry – and your QSBS exclusion just vanishes. All or nothing.

So before you start building your whole exit strategy around QSBS, double-check that every box is really checked. Not just in your pitch deck. Not just in your CPA’s wishful thinking.

On paper and in the real world, you need to be bulletproof.

Ever seen a founder lose out because of one missed detail? That’s a “close enough” they never forget.

You can’t “hack” QSBS at the last minute. Here’s why the 10x basis rule catches almost everyone off guard.

Every founder eventually asks, “Can’t I just jack up my basis and then get 10x that number tax-free?”

Nope.

Here’s where reality bites:

Under Section 1202, your basis is basically locked in at what you paid when the shares were first issued. That’s it. End of story.

Trying to bump your basis later?
It won’t work.
Here’s what always trips people up:

→ Retained earnings in a C-Corp don’t increase your basis like they would in an S-Corp or partnership. That extra value just...sits there.

→ If you buy someone else’s stock at a higher price, you’re just their exit. You can’t create QSBS for yourself unless you got the stock directly from the company, at original issue.

→ Think you’re clever by issuing yourself new shares right before a sale? That just resets the clock on the holding period. And the cash invested must actually fund the business. You can’t just leave it parked and call it “capital.”
