Most investors get screwed by waterfalls.

But here's the thing…

It's not about returns.

It's about how your dollars actually flow back to you.

If you're putting money into real estate deals, the waterfall structure is literally your financial safety net.

Most people obsess over projected returns.

12%, 15%, 18%…

But smart money focuses on one thing:

How dollars flow back when things get real.

Here's what actually protects your investment.

And what you should demand from every deal.

First—cumulative preferred return “pref” on unreturned capital.

This means if a period falls short, that unpaid preference doesn't disappear.

It accrues and gets paid later.

You don't get skipped.

Second—100% of operating cash flows to you until two benchmarks are met:

Your pref is current AND your contributed capital is fully returned.

Not one or the other.

Both.

Then and only then—a clean split.

After LP priority is satisfied, remaining profits get shared 70% to you, 30% to the general partner.

Here's what we absolutely don't do…

And what should make you run from any deal:

No GP distributions from operations before LPs are whole on both preferred return and capital.

No complex catch-up provisions during operations that benefit operators first.

No "clever" waterfall structures that require a PhD to audit.

This protects you three ways:

Priority on both income and principal.

Simple, transparent math you can follow in quarterly reports.

And alignment—operators only win big after you're made whole, not before.

Your four-point checklist:

Is the pref cumulative and calculated on unreturned capital?

Do LPs receive 100% of operating cash until pref is current AND capital is fully returned?

Are refinance and sale proceeds sequenced properly—capital back, then unpaid pref, then clear 70/30 split?

Are fees reasonable with meaningful GP co-investment on identical terms?
