I stay in India and receive my income from a foreign company, do I need to do any compliance?


Yes!

There are 3 areas:

GST
Banking compliance
Income Tax

GST:

-> For export of services, It is mandatory to get the GST!
-> There will be no tax as export is a zero rated supply. (provided Letter of Undertaking is filed)
-> You need to file GST returns on a monthly/quarterly basis.

Banking reference:

-> Bank will ask for source of such foreign and will ask you to file a declaration form.
-> Bank will issue a Foreign Inwards Remittance Certificate (FIRC), keep it in your records for future requirements.

Income Tax:

Case 1 - If your turnover doesn't exceed INR 50 lacs in a year (INR 75 lacs in case if 95% of total income is received in bank):

-> Income tax act provide exemption from maintaining books of accounts.
-> You can just claim 50% of total receipts as your income and pay tax on that.
-> You need to pay 100% of your tax as advance tax, on or before 15th March of the financial year.

Case 2 - If Income is exceed above limits or your actual profit is less than 50% of total receipts:

->  You need to maintain proper records and prepare books of accounts.
-> Audit is mandatory in such case.
-> You will be taxed on the audited profit.
-> You need to pay 15%, 45%, 75% and 100% of advance tax on 15th of June, September, December and March respectively.

Do you know what your startup is really worth?

Many founders don’t. 
And that’s okay!

Startup valuation can feel like a mysterious number investors pull out of air.

At its core, valuation is simply an estimate of how much your business is worth today, based on factors like 
your product, 
customers, 
revenue, and 
growth potential.

Here’s a simple way to think about it:
Imagine you baked 100 cakes and someone wants to buy your bakery. The buyer will look at:
How many cakes you sell every day (your revenue)
How popular your recipes are (your product/market fit)
How fast you can grow (your potential)

Combine these factors, and you get a rough idea of what your bakery or startup, is worth.

Valuation is not an exact figure, it’s a conversation starter with investors. 

It helps you set expectations, negotiate fairly, and plan your fundraising.

I often see founders celebrate the wrong numbers,


likes, downloads, signups, etc. but investors and smart operators look at a different set of metrics. And those metrics change depending on your business model.


Here are the key growth metrics by model:

-> SaaS (Software-as-a-Service)

MRR / ARR - Monthly & Annual Recurring Revenue.
Churn Rate - % of customers who cancel each month.
LTV:CAC Ratio - Lifetime Value vs Customer Acquisition Cost.
Net Revenue Retention (NRR) - How much existing customers expand/spend more.
Gross Margin - Profitability after hosting, support, and delivery costs.
Rule of 40 - Growth rate + profit margin (should be ≥ 40%).


-> B2B (Enterprise sales)

Sales Cycle Length - Time from lead to deal closure.
Average Contract Value (ACV) - Revenue per customer contract.
Win Rate - % of proposals that convert to signed deals.
Pipeline Coverage Ratio - Value of pipeline vs revenue target.
Customer Retention Rate - % of clients renewing contracts.
Expansion Revenue - Upsell & cross-sell from existing clients.


-> D2C/B2C (Consumer brands)

Customer Acquisition Cost (CAC) - Cost to acquire a customer.
Customer Lifetime Value (LTV) - Total value from a customer over time.
Repeat Purchase Rate (RPR) - % of customers who buy again.
Average Order Value (AOV) - Revenue per transaction.
Gross Margin - Profitability per product after COGS.
Return Rate - % of orders returned (affects margins heavily).


-> Marketplace 

Gross Merchandise Value (GMV) - Total value of goods/services sold.
Take Rate - % of GMV you capture as revenue.
Liquidity - How quickly supply meets demand (e.g., time to match buyer-seller).
Active Buyers & Sellers - Ratio and growth of both sides of the market.
Order Frequency - How often transactions happen per user.
Fill Rate - % of demand actually fulfilled on the platform.


Its also important to understand that each model has its own “north star.”
SaaS = Recurring revenue & retention.
B2B = Deal size & conversion.
D2C = CAC vs repeat purchase.
Marketplace = Liquidity & GMV.

A startup needs to track the metrics that matter for their model and not for any other model or anything else.

What’s the one metric you watch every single week?

I see many founders treat bookkeeping as an afterthought, something to fix only at tax time. 

But clean books aren’t just for the CA; they’re for you.

Why? 

Because your books tell you if your business is healthy or in trouble.

Here’s a simple example:

Imagine you run a café. Every day, money comes in from coffees, snacks, maybe deliveries. 

Money also goes out - rent, salaries, supplies. 

If you don’t track this daily or weekly, you might feel “sales are good” but still run out of cash at the end of the month.

That’s why clean books matter. Start with basics:
-> Income (what’s coming in)
-> Expenses (what’s going out)
-> Cash balance (what’s left today)

Update it regularly, even 10–15 minutes a day.

Clean books = clear decisions. 

You’ll know when to spend, when to save, and when to raise money.
How often do you actually look at your numbers - daily, weekly, or only at tax time?

This is the story I hear from many founders. 


Expenses keep climbing, and even with higher revenue, margins don’t improve.

That’s where cost optimization comes in. 

Not cutting blindly, but tracking and prioritizing.

Here’s a simple way to start:

-> Track every spend 

If you don’t know where the money is going, you can’t control it. Break costs into clear buckets: salaries, marketing, tech, operations.

->  Find the ROI leaks

Look at each spend → is it bringing in growth or just “nice to have”? For example, marketing channels: if one gives 5x returns and another 1.5x, cut the weaker one.

-> Prioritize high-ROI activities

Double down on what works. Spending less is good, but spending smarter is better.

Profits don’t come from sales alone, they come from disciplined spending.

What’s one expense you cut recently that made the biggest difference to your margins?

Most founders freeze when they see a term sheet.


The legal terms, the pages of clauses, the hidden what-ifs… 


It feels overwhelming. But at its core, a term sheet is just the blueprint of your deal with an investor.


Think of it like a rental agreement. You don’t need to be a lawyer to understand every section, you just need to know the 2–3 things that really affect you.


Here are the basics every founder should know:

-> Equity %
How much of your company you’re giving away in exchange for the investment. Simple, but make sure you know if this % is pre- or post-money.

-> Liquidation Preference
Who gets paid first if things go wrong or the company is sold. Example: 1x preference = investor gets their money back before anyone else.

-> Board Seats
 How much say your investor will have in decisions. More seats = more control.


The rest are details that lawyers will handle.
