Advised on inter-group transactions aligned with OECD standards, developed documentation, and assessed transactions for compliance and planning. 

Estate Planning: 
Advised high-net-worth individuals on estate planning, including trusts, corporate structures, inheritance tax, and offshore asset management.

International Taxation: 
Advised on Jamaican tax implications of cross-border investments, double taxation treaties, and tax-efficient structures for foreign investors. Assisted with offshore and regional headquarters setups. Advised on permanent establishment considerations. Advised digital businesses on risk of triggering Jamaican tax liability. 

VAT: 
Provided planning and advice on General Consumption Tax for international and domestic clients.

Objections: 
Drafted objections to high value tax authority assessments.

Tax Policy:
Wrote government agencies on client's behalf regarding certain tax policy positions.

Other:
Represented an international hotel group in an over US$200M Jamaican investment, securing fiscal incentives.
Provided commercial legal services to KPMG CARICOM for high-value contracts.
Acted as data privacy liaison for KPMG Jamaica’s tax practice.

In-House Counsel, Tax

National Insurance Fund

As sole in house attorney at the fund, I was responsible for the legal aspects of the management and governance of the fund, which as at December 2020 had J$120 billion (US$821 million) AUM. I also participated in policy and investment-related decisions.
 
Some of my functions included:
 
Advising Management, Board, and Committees: I provided legal guidance and advice to the fund's leadership, including the management, board of directors, and various committees such as the investment, audit, risk, and real estate committees. I was also responsible for addressing the legal implications, risks, and compliance matters related to the fund's operations.
 
Investment Matters: I advised on equity (both public and private), fixed income, loans, and real estate investments. Including conducting due diligence, assessing legal risks, and ensuring compliance with investment regulations and policies.
 
Corporate Governance: I played a key role in ensuring that the fund adhered to corporate governance principles. This involved advising on governance practices, reviewing and drafting governance policies, and ensuring that the fund complied with relevant regulations and best practices.
 
Contract Drafting and Review: I was responsible for drafting, reviewing, and advising on various contracts and investment instruments. 
 
Litigation and Alternative Dispute Resolution (ADR): I provided instructions to external counsel for litigation matters and ADR processes. 
 
Investment Policy: I was part of a team that reviewed and updated the Fund's investment policy to ensure the NIF’s investment strategies and asset allocation aligned with its evolving goals, and risk tolerance. 
 
My role involved the strategic application of financial and securities law, financial regulations, corporate law, real property law, and investment strategies in order to help the NIF manage its assets, adhere to legal requirements, and make informed decisions regarding investments and governance.

In the role, I carried out the functions of administering bankrupt and insolvent estates of both individuals and companies, as well as providing litigation instructions. I was involved with managing the assets, liabilities, and legal proceedings related to financially distressed entities and individuals.

The specific functions of my role included, but were not limited to:

Asset Management: I was a part of a team responsible for identifying, evaluating, and managing the assets of the individual or company in question. This includes liquidating assets to pay off creditors or reorganising assets to create a viable plan for debt repayment.

Liability Assessment: I was a part of a team responsible for determining the extent of an individual's or company's debts and obligations, as well as working with creditors to negotiate settlements or repayment plans.

Legal Proceedings: I researched and drafted legal pleadings.

Financial Analysis: I was part of a team that conducted thorough financial analysis to understand the financial situation and viability of the individual or company.

Compliance: I was part of a team that ensured that all actions taken complied with relevant bankruptcy and insolvency laws and regulations.

Negotiations: I was part of a team that negotiated with various parties, such as creditors and debtors, to reach agreements that are fair and equitable.
