This 1993 Alpina B12 5.7 Coupe is number #27 of 57 and was ordered with special-order Ferrari Red paintwork, anthracite Buffalo leather upholstery, and an Alpina-modified 5.7-liter V12 mated to a six-speed manual transmission and a limited-slip differential. B12s were based on the 850CSi model and received a vented hood, revised front springs, 18″ Softline wheels, and unique interior details, and this example was federalized for the US market in 2004. In 2007, it was returned to Germany for a refresh at the Buchloe factory, at which time the engine was rebuilt. The car changed hands in 2019 and has been fitted with a refreshed interior featuring red-and-black dashboard, an Alcantara headliner, and a CD43 head unit. A CSi-style front valance has also been fitted in favor of the Alpina component, and HID headlights were installed. Between 2024 and 2025 the Michelin tires were mounted, the suspension was refreshed, and the clutch was replaced. Now indicating 141k kilometers (~87k miles), this Alpina-modified E31 is offered by the seller in California on behalf of the owner with manufacturer’s literature, service records, Alpina documentation and a clean Montana title in the owner’s name.

The car was specified in special-order Ferrari Red from the factory, and it was fitted with an 850CSi-style front end and refinished by a previous owner. The seller notes a chip on a fender necessitated a respray of the panel in preparation for the sale, and the front valance was refinished at the same time. The car retains its B12-specific vented hood with a NACA duct, and HID headlights have been installed.

Alpina Softline 18” wheels were mounted with 245/40 front and 285/35 rear Michelin Pilot Sport All Season 4 tires in December 2024, at which time the thrust bushing arms and dampers were replaced. The B12 5.7 retained most of the European-specification 850CSi suspension and brakes, including the rear-wheel steering system, and Alpina fitted revised front lowering springs.

Partners and JV Partners don't get salaries, they typically have to buy in or earn their way in...

I get hit up a lot from people who want to partner up on deals or venture building projects, but they require a salary or they can't participate.

Why would I want to partner with someone just to pay them as an employee? That's not a partnership, that's a boss and worker relationship.

If you want to make the big fees and earn your equity, you aren't going to get that as an employee working for a wage, not in the venture building business.

Just sayin...

When someone asks me if I can help with raising capital this is typically what they mean without saying it out loud...

We don't have any money, we have no budget, we have no process, no team and no resources, so we need you to go pound the pavement for us and we'll pay you if and when you go close capital for us.

Nobody in their right mind is going to go do that stuff for you and it's not their job to close capital for a company or fund or project that they aren't directly involved with at the C Suite level. It's the job of the CEO to be out there grinding for investors, taking meeting and attending events, not an advisor or consultant or even a board member. They'll get laughed out of the room!

Even if you happen to get a Broker Dealer to represent you, they will still require a retainer and they still need the CEO to close the leads that they qualify for you as they are primarily openers and not closers.

My job is to build, launch and own companies, not to operate them. What's the point of creating yourself a job when you can just hire other people to run your companies for you?

Not saying that operating is a bad thing, it's just not for me!

To each their own of course...

If you want to go out and make an extra grand per month during the holidays, the easiest ways that I know of to do so are to sell people information, provide them a service or sell other people's things for them.

Do you know something that is potentially worth a lot to someone else? Go sell that information!

Do you know things that you can teach others to help them? Go sell that service!

There's a dozen garage and estate sales every weekend, go take that process over for people and take a consignment fee on everything you sell for them!

Obviously, it's all about promotion and marketing as nobody will hire you or pay you if they don't know what you can do for them, so get out there and pitch your offering as much as you can and do not be afraid to ask for referrals even if you have to pay out a referral fee.

As a Venture Builder you're going to seek out the professionals to take over projects and lead then because that's what you're betting on at the Studio level, high level execution...

But every now and then you'll get someone who bluntly chimes in and says that they can do it better and all they're looking for is an opportunity to prove themselves.

It's a big gamble, but every expert was once a novice and someone gave them a chance, so keep an open mind when it comes to giving a Rookie a shot as they just may surprise you!

Be careful when you name drop because that person who you're trying to impress my just pick up the phone and verify that relationship!

Just sayin...

Nobody will ever understand unless they've been through it, not even your spouse...

"You're always on edge and it's not very fun to be around, how about you take a break and we go to the desert for a long weekend to unwind a bit?"

I'd love to, but...

"You say that your company is worth millions and you are the majority owner, but you don't have enough money to fill up your gas tank. Aren't you supposed to pay yourself first? I don't get it?"

That's not how it works. If the company runs out of money then it dies so taking money out right now would kill the whole thing. Would you like for me to explain how it all works?

"I don't understand why you're doing this to yourself..."

I want to see it through to the end for better or worse. It's just something that I have to do and I can't quit unless there are no other options to move forward.

"I've seen you lose it all already and I don't think I can see you go through that again."

I understand, but this is just what I do...

Bless them as they are going through it with you whether you think they are or not. They see how you are and how you used to be, the struggles, the small wins, how your mindset changes several times daily, the stress and anxiety, the feeling low not being able to do things with your family like you used to, the constant money struggles and putting off things for yourself to take care of others especially the business which is almost a "mistress" at this point...

It never ends and even if there's a big success in the end, they will ask you if it was all worth it... You just have to ask yourself if it is, or is this just a long fools errand?

Entrepreneurship isn't easy for anyone, no matter if they're involved directly or just by proxy...

What Entrepreneurship seems to be missing are early entry operators who buy in and take over an idea or young company and scale them.

It's not an exit for the Founders or investors, but an operational upgrade!

Not a hire per say, but someone like a PE turnaround specialist who focuses on young companies.

Startup Studios would love this person/team as it's the ideal fit for their business model!

Here's how you trying to "provide value" could get you sued...

You know people out raising capital for deals so you decide to go promote those offerings and pitch it to investors to refer any leads to the sponsors.

They just happen to be using a 506b offering which means no general solicitation which is exactly what you're doing.

The SEC finds out and audits the sponsors.

The sponsor had no idea that you were doing that and never agreed nor gave you permission so the sponsor sues you personally.

Know the rules before you go play the game...

"Hey Jeff, I wanted to thank you and let you know that you were right. I called the securities attorney that you referred and they said exactly what you said that they'd say about selling securities without using an exemption to my family and friends. They are helping me fix the issue so I just wanted to say that this was the best hundred bucks that I've ever spent because you just saved me a lot of money and potentially some legal trouble that I would've gotten into if I kept going the way I was. Thanks again!"

This is why I do it!!!

My $1,000 investment turned into $300k only because it was a Venture Building investment where I had complete control of the people, process and capital at al times...

Why invest blind as an Angel when you can manipulate the desired outcome?

To each their own of course...

Unless you have $1M+ to invest, you are not going to get into those funds that own pieces of the Lakers, Dodgers, Yankees etc. 

But... if you pooled your capital with other investors in a managed structure or fund, that entity could now invest in those big funds!

Here's the low down on what's going on out there in the private capital markets right now... It all looks good on the facade, but behind the curtain it's anything but business as usual...

I have been in the capital raising business for over 40 years.

I was raising capital during the Black Monday crash of 1987. I navigated the Dot-com bust in 2000. I helped our portfolio companies survive the Great Financial Crisis of 2008.

In each of those cycles, the crisis was loud. You could see the fire. Valuations crashed, panic set in, and the money simply evaporated.

But as we close out 2025, we are living through a market that is fundamentally different from anything I have seen in four decades. It is not a crash; it is a "Silent Freeze."

On the surface, everything looks normal. VCs are announcing new partners. Founders are posting about product milestones. Conferences are packed. But behind closed doors, I am hearing the same story from established Fund Managers (GPs) and Series A/B/C CEOs alike: "Why is it so hard to close right now?"

The answer requires looking beyond the headlines. We are in a "Liquidity Illusion." The money is there, but the pipes that used to deliver it are clogged.

Here is the unvarnished truth about the late 2025 market, why AI has actually made fundraising harder, and the non-obvious playbook required to survive it.

1. The "Zombie Capital" Problem
To understand the frustration, let me share a story from last week.
We were advising a Founder of a Series B company with solid revenue traction and strong growth. She had spent three months pitching top-tier VC firms. The meetings were great. The partners were engaged. They did deep diligence.
But they never issued any Term Sheets. They just kept asking for "one more month of data."

Why? Because she was unknowingly pitching "Zombie Capital."

What many Founders don’t realize is that a huge percentage of VCs can't currently call capital. They are "window shopping," taking meetings to stay relevant and build a backlog for if and when their liquidity situation improves. But right now, they're paralyzed. They are wasting your time because they cannot admit they are out of the game.

The Zombie Filter: 3 Questions You Must Ask. Don't guess. Ask these Qs in your 1st meeting. If they squirm, run.

"When did you close your current fund?" (If >3 yrs ago and no new fund announced → Red Flag)

"How much capital is reserved for new deals vs. follow-ons?" (If <20% for new deals → Red Flag)

"How many net-new lead checks have you written in the last 6 mos?" (If 0 or 1 → Red Flag)

If you want to get an allocator job at an investment firm, ask them if you can put together a SPV with your own money and investors into one of their deals and prove your way into the position.

Beats waiting 17 years to work your way through the ranks, but to each their own of course...

Okay then, so you're basically asking firms to run DD and underwrite deals for you on their time and their dime and they get nothing in return for that work?

Do you hear how moronic that sounds when you say it out loud?!?!

We'll go do the work, but we're going to charge you a fee for it just like you'd have to pay someone internally to do your DD work for you.

If you're not willing to pay then I hate to say it, but you're going to get a bad reputation in the industry as it's smaller than you think it is and nobody is going to take your phone calls no matter how much money you have due to the principle of you being a dickhead. Just sayin...

Every now and then I get an office hours session that turns into an opportunity that I'd actually like to get involved in as a Venture Builder project, but most of them never go through because of what I want for compensation.

I don't look at anything for less than $250k (which is a one time fee, not ongoing) which can be paid out over time and at least 10% equity.

If they don't feel that I bring that much value to the project and try to negotiate or just plain out complain, that's the end of it.

If I bring to the table everything that you don't already have, then what's that worth to you and the business? 

I personally think that $250k and 10% is cheap as the past few projects have all gotten up towards mid to high 8 figure valuations, so if that isn't on par with their expectations then I don't know what the hell is.

The point here is to stick to your guns and charge what you're worth. If they don't see it then you shouldn't be working with them anyway!
