As a member of the Capital Markets and Financial Services industry group, Kevin focuses his practice on finance matters, representing lenders, borrowers and investors in a wide variety of financing and real estate transactions. The majority of Kevin's practice is spent representing senior lenders, sponsors, and mezzanine lenders in sponsor finance transactions, including buy-outs, acquisitions, growth capital, and recapitalizations. 

Kevin’s other finance work includes large and mid-cap syndicated deals; large, mid and small-cap acquisition financing; mezzanine lending; construction lending; asset based lending; equipment financing; and inventory financing. He has authored Kansas and Missouri chapters in a national treatise describing the laws of guarantees, edited and updated Kansas and Missouri sections of a national treatise providing state-specific overviews of commercial lending, and edited and updated the finance chapter of a publication describing interaction between inside and outside counsel.

Kevin frequently act as local counsel for the purpose of providing opinion letters in secured lending transactions, and performs detailed reviews of the Uniform Commercial Code to counsel creditors and borrowers in UCC disputes. Kevin often advises clients at the inception of a credit transaction or in developing a line of business in order to create policies and procedures that provide the most collateral or credit protection possible.

In addition to his finance practice, Kevin frequently assists start-up, small and mid-size businesses in general business matters, including business formations, general contract drafting and negotiations, independent contractor/employment agreements, drafting and review of commercial leases, technology agreements and fundraising. He has guided dozens of companies and investors through the process of structuring and negotiating seed/angel investments and Series A investment rounds.

My work at Polsinelli was split between the Life Science Group and the Commercial Real Estate Lending Group. 

In the Life Science group, we utilized industry specific experience to advise and assist life science related companies on regulatory, real estate, and financing issues that are unique to the industry.  Additionally, we advised on entity selection, jurisdiction, structure, corporate governance, and compliance with securities and jurisdictional law. I worked on asset transactions, equity transactions, Hart-Scott-Rodino pre-merger notification, international acquisitions, angel investment, private equity investment, and all types of bank financing transactions. 

As part of the Commercial Real Estate Lending group I represented lenders in loan document drafting and negotiation,  due diligence, title policy review, entity structuring of the borrower, and closing of commercial real estate transactions across the country.
