•	Legal lead negotiator for commercial contracts, M&A, including acqui-hires, employment agreements, and data feed procurement.
•	Guided pre-litigation and litigation matters.
•	Directed stock option and equity policy and compliance and CARTA management.
•	Supported compliance for international and US government contracts, including ITAR and export control issues, and government procurement.
•	Managed global real estate portfolio and global entities.

McKay Brothers

McKay Brothers, LLC is a private global specialty telecommunications and financial market data firm that engineers, builds, and operates extreme low latency wireless networks for financial markets trading.

•	Member of senior leadership team.
•	Chief legal negotiator for all enterprise contracts, commercial transactions, and corporate matters.
•	Structured, built, and managed the contracting processes and contracts database for the firm.
•	Provided legal guidance in all areas of the business including commercial operations, litigation, and    regulatory compliance - which included anti-bribery (FCPA), OFAC, data privacy - GDPR, competition, and export control.

•	Drafted and negotiated term sheets, letters of intent, and final definitive documents for loans and equity investments, strategic partnerships, and joint ventures.

•	Retained and managed outside counsel.

•	Conducted global compliance training and created playbooks, guidelines, tools, and other training resources.

•	Directed legal analysis for new country entry for expansion into Europe, Asia, and Australia.

•	Legal lead for IP licensing agreements, market data distribution agreements with exchanges in the U.S., the U.K., Europe, and Asia; hardware development, manufacturing and purchasing agreements.

•	Legal lead for global real estate portfolio which included data center collocation agreements in the U.S., the U.K., Europe, the Middle East, and Asia; fiber and subsea cable agreements; and telecommunications tower development matters including leasing, colocation, purchases, zoning and permitting.

Ross Stores, Inc.

•	Built the contracts support function for this Fortune 500 Corporation and its charitable Foundation including the development of playbooks, templates, and best practices for commercial contracts.
•	Legal lead on data security and SaaS/Cloud issues in all commercial transactions.
•	Developed and implemented training for Supply Chain, IT, Logistics, and Procurement teams.
•	 Directed strategy for resolution of commercial disputes, contract terminations, vendor transitions, and the RFP and vendor due diligence process.    

NYSE ROST is a 20+ billion dollar retailer. Ross Stores, Inc., together with its subsidiaries, operates off-price retail apparel and home fashion stores under the Ross Dress for Less and dds DISCOUNTS brand names in the United States. As of March 24, 2015, it operated 1,399 store locations in 33 states, the District of Columbia, and Guam.

•	Worked as part of the legal group responsible for all corporate contracts and intellectual property matters.  
•	Revised the form agreements and negotiating parameters for the business teams that I supported in preparation for a retail expansion, the rollout of a franchise program, and several enterprise development projects in the United States, the United Kingdom, Hong Kong, Singapore, and Australia.  
•	Drafted, negotiated, and reviewed licensing agreements and media buy campaign terms for the international IT, marketing, and advertising teams.

Longs Drug Stores, Inc./CVS Caremark Corporation

NYSE LDG was the largest regional retail pharmacy chain in the Western US prior to its acquisition by www.cvscaremark.com NYSE CVS.

•	One of two in-house attorneys who led the legal team for the sale of Longs to CVS Caremark.   
•	Realigned the strategy and management for ongoing litigation matters and disputes which resulted in the clearing of an aging and costly corporate litigation backlog.  
•	Advised and educated senior management on due diligence, risk, and risk mitigation for acquisition targets and on legal, regulatory, and operational parameters and strategy for new business initiatives.
•	Structured integration protocols and auditing procedure for multi-state post acquisition transactions.
•	Successfully defended high risk litigation through final appeal to the California Supreme Court and negotiated settlement agreements for commercial disputes and resolutions to state environmental enforcement actions.  
•	Selected and managed outside counsel, budget, and strategy for regulatory disputes and litigation.  
•	Sole legal resource and manager for real estate, construction, and environmental issues for owned and leased real property portfolio comprised of approximately 530 retail, office, warehouse, central fill, call center, and distribution properties in 9 states.

•	Managed, directed, and settled multi-state litigation and federal regulatory enforcement actions.  

•      Structured and managed Regional Contracts Department for the 9 Western states and trained sales and contracts staff on negotiation techniques and standards and corporate contract terms.
