Constructed in 2022, Saltwater Resort is a 48-room, 84-bed condo-style hotel offering five-star hospitality accommodations. For years, I didn't fully understand the weight of what my dad gave up so I could sit where I sit today.

Before two GovCon exits, 50+ early-stage investments, and a commercial real estate portfolio ... I was grinding as an Oracle database developer.

And I was moonlighting on the side because I was itching to build something of my own.

That urge came from growing up surrounded by entrepreneurship.

In rural North Carolina, my extended family ran the sort of small businesses that keep a small town alive.

Across both sets of grandparents, aunts, and uncles, we had:

• Restaurants
• Trucking companies
• A shrimping operation
• Agricultural businesses 

Blue-collar, gritty, entrepreneurial. That was the atmosphere I came up in. And I loved every second. 

My dad is the reason I ended up here today.

He worked grueling shifts as a regional manager for major bread distributor (Merita / Hostess) prior to running his own trucking company and serving in the U.S. Army.

I learned discipline alongside him in hands-on tasks, loading, hauling, showing up when it was still dark out.

Around middle school, he recognized I had potential with technology, a path he never could pursue himself.

So he invested everything in helping me get there: his time, his energy, his money, his belief.

That's the kind of bet that changes a life.

When I had 90 days of runway left, every meeting became: “Does this move us toward survival?”

Your first board member will sit across from you for years with a say in major decisions.

A few thoughts about selecting board members:

First, don't pick someone just because they look good on your deck.

If they're on your board to make you look credible to other investors, they won't answer at 11pm when you're trying to figure out if you should fire your VP of Sales or burn another $200K on the product roadmap.

Pick wrong and you're stuck with someone who shows up quarterly, asks surface-level questions, and adds nothing when your biggest customer churns or your co-founder wants out.

The question I come back to: Will this person change how I think? 

Not validate what I already believe, but show me what I'm missing?

Second, you need someone who's built something close to what you're building.

Not the same industry necessarily, but the same type of problem. 

Someone who's navigated what happens when growth stalls at $2M, or when your biggest competitive advantage gets commoditized, or when a regulation changes and you have 90 days to adapt.

General "startup advice" doesn't help when you're in the weeds. You need someone who's seen your specific movie before.

Third, board meetings shouldn't be just performance reviews.

The board members who actually helped me didn't wait for quarterly check-ins. 

They made a deal-closing intro. They caught a pricing structure that would've made our margins suffer. They got on the phone when something broke and stayed until we had a plan.

You also need to be able to argue without it getting personal.

Founders and board members are going to disagree. That's fine and natural. 

What's damaging is when someone can't handle pushback, or when a hard conversation turns into a personal attack or tension that lasts for months.

If you can't tell someone they're wrong and still work together the next day, the relationship won't survive the first real crisis.

I've also noticed the best board members care about you, not just the exit multiple.

They care about the problem you're solving. 

They want to see you figure out how to lead a team, not just hit revenue targets. 

They understand that if you burn out or lose your drive, the company's probably done anyway.

Your job is to build something that works without you touching everything. 

Their job is to help you get there without crashing and burning.

Board composition is one of those decisions that compounds. You either get long-term leverage or friction.

Getting this decision right early saves you years of frustration later.

The term sheet shows you own 60% of the company. But you sell and only take home 24% of the exit. Why? 

You own 60% of the shares - but not 60% of the money. 

Legal clauses cut you down.

Some VCs reduce their risk by loading term sheets with clauses that quietly destroy founder outcomes at exit.

After 50+ VC investments, I've seen how this plays out.  And after bootstrapping two companies to exit, I know that founder equity is everything.

Watch out for these founder-wrecking clauses:

1) Participating preferences
Investors collect their original investment back, then take a second cut of what's left.

2) Protective provisions
A small investor stake can block your biggest decisions, hiring, budgets, fundraising, exits.

3) Cumulative dividends
Interest piles up quietly for years, then gets paid before you see a dollar at exit.

4) Option pool mechanics
The equity reserve for future hires gets carved out of founder shares, not investor shares.

5) Anti-dilution 
Your ownership shrinks if the next funding round values the company lower than this one.

These are all tilted to protect the investor at the founder's expense.

And when they stack, a decent exit can leave the founder holding much less than they expected.

Because I bootstrapped both my companies, I take an operator-investor lens.

Revenue-funded growth teaches you things traditional VCs don't learn: 

• Equity is everything
• Dilution destroys outcomes
• Incentive design is critical

That's why we do things differently at Cape Fear Ventures.

We focus on founder-investor alignment first, as it should be when working together, not against each other:

1x non-participating, no dividends stacking in the background, no conversion traps that dilute you later, no clauses designed to let us get paid twice while you get paid once.

We control risk through deep diligence in our wheelhouse (AI, robotics, space, Fintech) not through legal protection that shifts the payout.

If an investor insists on loading your term sheet with clauses you've never heard of,  it's worth asking why they insist on that much protection.

AI can scale your judgment, but it can also scale your dysfunction.

Before offloading any decision to an AI agent, run it through three questions.

Question #1: Can you explain the decision criteria in two sentences?

Good version:

"Under $1,000 and tied to a live customer deliverable -- approve it yourself. Over $1,000 or speculative spending: send me a one-line justification before purchasing."

Bad version:

"Just use your judgment, but also check with me if it feels like a lot, but I trust you, but also maybe run it by finance first if it's not obvious..."

Two sentences is the test. 

If your version takes five minutes and four caveats, you've described a feeling.

And feelings don't automate.

Question #2: Does your team ask a version of this more than twice a week?

Automation solves repetition, not novelty.

One-off judgment calls should stay with you. 

But if the same question shows up phrased slightly differently every Tuesday and Thursday, that's your candidate.

The diagnostic: scroll back through your team chats right now. Count how many messages are variations of the same five decisions. 

Refunds. Discounts. Expense approvals. Priority calls.

Frequency is the signal. If it repeats, it's ready to extract.

Question #3: If the AI gets it wrong, can you fix it before it costs you

Not every mistake weighs the same.

An AI approving a $800 software renewal you would have cut? You spot it at month-end. Irritating but recoverable.

An AI sending a pricing proposal to an enterprise prospect with the wrong discount tier? Much more difficult to walk back.

The filter: map every decision you're considering offloading onto a simple axis. On one end, low-cost and reversible. On the other, high-stakes and hard to undo.

Automate from the safe end first. 

Then build trust in the system before you hand it anything with real consequences.

An AI agent with your documented judgment is basically a new hire with perfect memory and zero ego. 

But you need to define the guardrails before you hand over the keys.

AI doesn't fix unclear thinking. It distributes it.

Feed it clarity, you multiply progress. 

Feed it chaos, you multiply dysfunction.
