I learned one of the greatest business lessons, from a near 💥 disaster I once experienced.


There was a time where I used to 🧳 travel 

to every unknown hole in 🗺 Europe,

for business.


These trips had complex itineraries,

as I hopped from one far flung 🌇 city 

to the next.


From 

💂🏻‍♂️ London to 🇸🇮 Ljubljana,

🐃 Barcelona to 🇮🇹 Bologna,

👸🏼 Malmo to 🇸🇲 San Marino,

one thing I knew.

wherever I showed up

I left with a 💰 six digit order.


One trip, I arrived in 🕌 Istanbul, 

my first stop, 

for a meeting with a dear client/friend

from 🗿 Thessaloniki,

to meet with a local Turkish client.


When I got to passport control,

the 🧑‍💼 officer asked me 

for my visa.


I almost fainted!

Why didn’t anyone ☝️ tell me 

that I needed a visa to enter Turkey?


Not my travel agent, not my friend, 

and not my host!


This was the first leg of a 

four stop ✈️ trip,

(you can count the lost 💵 sales)

and now I am thinking that

I am about to be 🚷 deported back

to where I came from!


When I was finally able to speak

I meekly said to the officer,

“So now what?”


She looked at the mess that I became,

(I am not a very good 🃏 poker player)

and with a smirk on her face,

she 👉 pointed to the other end of the hall,

and said, go pay 35 Turkish Lira

and come back here.


Aha! So it’s all about the 💸 money!

Nothing to do with 🛡️ security,

or even politics.

Just 💲 Money!!!


Totally infuriated and 🤯 discombobulated,

I needed to detour to the mens room 

to wash off my sweaty face,

and regain my 🥵 composure,

but it all turned out okay!



When you have an LLC,

you must file an annual 🧾 report

every year in almost all states.


Is it about reporting?

Nope!

🔐 Control?

Nope!

It’s all about the money!


Just a way for the state to bring in 

 a few extra bucks 

into the 🏦 state coffers.


Governments have the luxury of 

doing business like that.

Private enterprises ⛔ do not.


As a 👔 professional,

when you charge a client,

make sure

the price matches the 💎 value,

for every line item.

Fast forward 34 year, and I am no longer spending 🤸🏼 carefree days, 


with the boys on the 🏖️ beach in Miami.

With 10+ kids and almost 

as many 👩‍👨‍👶‍👦👩‍👨‍👶‍👦 grandchildren,

life is a bit more intentional,

and a lot busier.


But today..

 we held our first annual

Grandchildren 🐒 Zoo Day!


All you needed to be eligible

Like every grandfather in the zoo,

on the next generation.


But with me it was a bit problematic.

In every 🦒 animal

I saw and amazing lesson

in LLCs.


Now I know many of you 🙌 celebrate

teaching kids 💸 financial responsibility,

But I thought LLCs, and the importance 

of proper structuring and compliance,

along with some ☝ tax advice,

would have been a bit over the top, 

even for my very 🦉 intelligent group, 

ranging in age from ages 2-7.


So instead I just gave out lots of

🥨 pretzels, 🍭 candy, and 🍦 ice cream,

and let them have a good time.


And the best part is,

I made mental ⚡ notes to share 

with my friends on Linkedin!


So here is the first, for all

you lucky guys and gals!


Proud as a 🦚 Peacock,

may have been a great advertising slogan

for NBC Network back in the early 80s,

but it doesn’t work well for ✨ successful people 

who have lots of 💰 assets.


When my grandkids

spotted the peacock and its

hard to hide glorious tail, 

or more correctly “train”,

they 🚀 took off in hot pursuit.

After a long chase the peacock escaped

to the woods above the 🦁 lion habitat.

But only barely!


Same with your assets.

When a greedy 🤑 lawyer,

spots your luscious looking assets,

they will zero in on you,

in any 🧑‍⚖️ lawsuit that you are

even remotely related to you.


The poor peacock can only fold his tail,

but it can’t hide it altogether.

Drop & Swap is the secret strategy for 1031,

which you may be 😊 happy or 😭 unhappy to know

will be the subject of this post.


Sorry all you 🆒 Refrigerator Perry fans.


So what is a Drop & Swap?


If you have a syndication

or an LLC with many 🤝 partners

whose property is will be🏷️  sold

 for a handsome 🤑 profit,

most probably the sponsor would like you

to invest with them again in the 🚀 next deal,

and defer the taxes

through a 1031 🔁 exchange.


But what happens if one or more

of the investors 

have other deals

 they’d like to invest in?


If they take their money

and 🏃 invest elsewhere,

the LLC that owns the property 

will no longer be 

the one buying the next 🏢 property.


They will lose out on the 

1031 tax deferment

since the new 🛒 purchase

 will not be with the same LLC.


The way ↩️ around this

is to distribute a TIC interest

in the property

to each 🧑🏻‍💼 investor's new LLC.

This way they can

sell the 🦕 old property 

and buy a 💐 new one

with the same LLC.

Back in my younger years, one of our kids 👦🏻 was quite challenging,


 both at home and in 🏫 school.


Not uncommon when you have lots of kids,

and the statistics are not in your favor.

we have built in our head. 


But it doesn’t work, 

and ultimately professionals 

can end up doing more 🤕 harm than good.


Same with real estate investing.

Depending on you you consult,

they’ll tell you to focus on,

🪙 lowering taxes, 

🛡️ asset protection,

🏦 debt, 

💰 equity,

🧾 notes,

🤸🏼‍♂️ active,

🛌🏻 passive,

⛰️ scaling,

🎯 focusing,

💸 cash flow,

📈 appreciation,

💱 diversifying,

🏢 commercial,

🏡 Residential,

and on and on, 

depending what their specialty is.


Ask a 

👉 CPA,

👉 Lender,

👉 Syndicator,

👉 Property Manager,

👉 Fund Manager,

👉 Lawyer,

👉 Banker,

and you’ll get different answers from each.


Chances are none of them will ask you

 what 🫵 your goals are.

Even if they do, they will still need to fit their 📁 little box.

If you could only have one pair of clothing, what would it be? 👚 Casual, 👔 formal, 👕  pajamas?

Whatever you choose,

you are 💥 toast!

You don’t want to wear

clothing to sleep,

or pajamas to a 👰🏻‍♀️ wedding

or a tuxedo for your daily workout,

at the 🏋 gym!


And what footwear would you choose???

🩴Flip flops? 👟 Sneakers? 👠 Dress shoes?


Here’s the deal with a 1031 exchange.

The entity that sells,

must be the 🔁 same entity,

that purchases the new property.


Investors usually name the LLC

after the property.

Either the address 

Or some other identifiable name.


Let’s say your first ever purchase,

was a fourplex at 8 Lombard Street,

in 🌉 San Francisco.

You may have named your LLC

8 Lombard LLC.



Then you want to sell it,

and do a 1031 exchange to defer taxes

by purchasing a property in Miami

In South Beach 🏖️ Miami on Collins Avenue.


You would want to take title

 under the name

1040 Collins LLC.


Problem!

You need to buy the new property

with the same 📜 entity that 

sold the old one.


Even if you wanted to do something a bit 😲 bizarre

and use the old LLC, you would still need to 

foreign qualify in the state of 🌎 Florida 

or relocate it (not simple).


So if you ever plan on doing a 1031,

here is what you do.

✅ You set up a holding company 

My Hold Co LLC

(in a cozy state of course)


Each property you purchase 

should be wholly owned

by your holding company.

Each of the LLCs that hold a property

can be 🙈 disregarded to the HoldCo, 

since LLCs are pass through entities.


So here is what your 1031 exchange will look like.

The seller on the 1031 of the 🚋 SF property will be 

My Hold Co LLC

disregarding 8 Lombard LLC.

and the buyer of the 🏖️  Miami property

for the 1031

will be My Hold Co LLC

disregarding 1040 Collins LLC.


In complex deals this can get confusing

but keep in mind the principle that

LLCs can be 😑 disregarded 

when they are wholly owned by another LLC,

giving you the ability to make 1031 exchanges

even if the LLC changes!


Don’t get caught with a

SF 👘 Bohemian style LLC

in chic 🩳 South Beach!

Make sure you have a Holding Company!

Miami Beach🍹, summer of 1990, I was waiting on line to see a newly released 🍿 movie, starring Demi Moore, Patrick Swayze, and Whoopi Goldberg 

(Extra bonus points if you guess the movie whose name ties in perfectly to this very important LLC post)

together with my buddies on the first day of our two week 🏖️ vacation.

Out of the corner of my 👀 eye

I noticed a really 🪜 tall guy

with his girlfriend,

about twenty feet behind me.

It didn't take long for me to realize

that it was none other than

Pat 🏀 Cummings, 

the then NY Knicks power forward.


I went over to him to 🙋🏻‍♂️ talk,

But he seemed like he was hoping

no one would know him,

so after a few words about the Knicks,

and an ✍ autograph,

I left him alone. 


Basketball players have trouble

remaining anonymous,

even while trying

 to 🥸 disguise themselves.

For these tall guys 

keeping a 🤫 “low” profile

is like a redwood tree,

quietly trying to blend in,

in an 🍎 apple orchard.



With that said 

let’s go back to our LLCs.

Anonymous Wyoming holding companies

are regular fare for real estate 🏢 investors,

to maintain anonymity.


But what if told you 

I can quickly 🕵🏻‍♂️ figure out the owner

of eight out of ten of these

“Anonymous” LLCs?


People make so many mistakes,

that their chances of hiding their assets

are worse than 🦍 Godzilla himself 

coming to the premiere with a

pair of 🕶️ sunglasses.


I’ll leave you with two rookie mistakes

(before I reveal the name of the movie.)


First is forming your investment LLC

In the state of the property,

and only afterward,

forming the holding company.

By time you 🔁 transfer ownership,

you’ve already blown your ID,

in most cases.


Here is another classic.

Using yourself as registered agent 

for one of the 👶 child LLCs.

That will do you in every time.


There are many ways to blow your cover,

and many steps to take to ensure full anonymity.

Alway check with a 👨🏻‍💼 professional,

before you form any entity,

especially if anonymity is important to you.

What do they have in common?

Everything!


The Jews marched out of Egypt

after 210 years of ⛓ slavery.

Were they free?

Not by a longshot!


A few days later

the entire Egyptian 🪖 army, 

with all  their 🐎 chariots and weaponry,

set out to chase after them.


They pinned the Jewish nation,

against the 🌊 raging waters of the sea.

Suddenly the waters parted.

The Jews 🚸 crossed safely.


But the Egyptian army,

on their tail in hot 🏃 pursuit,

was 🏊🏼 drowned in its entirety,

as the waters came crashing down on them.


Only then were the Jews 

finally 🕊️ free.


A 1031 exchange

allows you not to 💳 pay

capital gains taxes

and depreciation recapture

when you sell a 🏡 property

for a 💰 profit.


But it’s only ✋ deferred,

not exempt.


The tax basis for you new property

is based on your basis for the old property,

meaning you will be taxed

 on the gain from the first 🏡 property 

upon sale of the 🏢 second,

unless of course, 

you do another 🔁 1031

when you sell the next property.


So when does this all 🏁 end?

Only when you 🪦 die!

Upon death, your heirs

get to 💰 inherit the property

with a stepped up basis.

Meaning their basis becomes 

the current fair value of the property,

Wiping 🌪️ out years of

built up capital gains taxes.


So just like the Exodus,

in a 1031, the government

is still in 🕵 hot pursuit.

Only after your passing,

does the Taxman disappeareth

How can we use this to our advantage?


In Ethics of Our Fathers it says,

When my great childhood mentor

stood up to give his first lecture, 

he said,

“If you don’t like me,

or my delivery,

or my stories,

or my jokes,

it’s okay!

You can hold it against me, but 

please don’t hold it against the message."


Listen to the Message, if not the Messenger.


We go through life hearing

so many valuable messages.

Because of bias, 

stereotype, 

and disagreement,

but we don’t listen!


We throw out the baby

The Drop & Swap Dilemma Part II

(Caution: Advanced 1031 ahead)


It’s time to sell the property

You and your 🫂 partners invested in, together.

Some partners want to 💰 cash out,

And pay their capital gains taxes,

others want to do a 1031 for another property,

but not all of them want to buy the same property.


These two scenarios would make a

1031 exchange 🙅 impossible,

since the LLC would need to act a 👨🏻‍👩🏻‍👦🏻‍👦🏻 group

to do the 1031.


Drop & Swap to the 🚁 rescue.

Title to the property is 📥 transferred 

from the single partnership LLC

to new TIC LLCs

With each partner owning their percentage

in their own LLC.


Now each TIC LLC that sells can 🤔 choose to 

cash out or 

do an exchange into a property

of its choice.


So here is where the 👨🏻‍🏫 experts argue, vehemently!

Many say that you must do the transfer to TICs

at least one 🗓 year before the sale

to show that it real and 

To satisfy an unwritten rule requiring 

a ✊ holding period of the property

for a 1031 to be accepted by the IRS.


Some will say it is okay to do it

before ✍️ signing the contract 

on the sale of the property.


My unconventional mentor insisted 

that the Drop & Swap be done, 

hold your 😲 breathe

at the closing!


This may sound ridiculous, 

and easy fodder for the IRS

to disqualify the 1031,

but I can tell you that

it was almost never 🚫 disqualified.


Admittedly we had different techniques,

For 🗽 NY and 🏄 California,

where you get disqualified too often

and audited even more.


His rationale was twofold.

First since there are rules as to how TICs are operated

And these LLCs were not 🧩 structured that way,

the TICs would be disqualified,

unless there was no time for them,

to 🥴 mess up.

A few days was too much in his opinion.


Second, as for the holding period for a 1031,

there is no such rule in the 📚 books.

The only rule is that the property is held for 

business or investment purposes,

which is the case here.


Third, many 1031 exchanges

are only thought about ⏰ long after

the PSA is signed,

and often at the closing table.

That leaves you with no other choice.


This technique makes some 1031 professionals queasy,

but I can testify firsthand

that I’ve seen it employed hundreds of times,

🎯 Successfully!


Whatever you do,

Remember that there are risks either way.

So make sure you are using 

a Professional with lots of experience

who is willing to go to bat for you

should you end up being audited!

Hold on ✊ for a minute, or maybe a year or maybe two!


Holding periods are a super 💥 controversial concept

 in 1031 tax deferred exchanges.


1031 is used by investors to defer both 

capital gains 🏦 tax and depreciation recapture.

Those potentially hughes tax savings

 must be used as capital

 for a 🛍️ purchase of another property.


Some 🧐 people will tell you that in order to be eligible

you need to have held the property for two years.

Some 🤓 say one,

And some 😎 say you don’t need

 to have held the property

at all!


Some let’s move from 🗣 hearsay to fact.

The wording of the 📚 law says,

“Real property held for productive use in a trade or business or for investment”


So now you see with your own 👁 eyes

that the law does not require

any holding periods.


The law merely requires an 🤔 intent to hold it,

For “use in a trade or business or for investment”


Developers 🏗️, Flippers 🛠️ and wholesalers for example

can not do a 1031 when they sell,

because they held the property as “inventory.”


So let’s say you 💳 bought an investment property, and

a day later someone needed that exact property, and

was willing to pay you 💸 double what you paid,

can the IRS argue that it wasn’t for investment?

I don’t see how.

I have done many exchanges like that!


So where does the two years come from?

It comes from gray areas, where the IRS will argue 

that you 🛒 bought it to flip. 


Then all the 🧩 facts will need to be checked 

To figure out your true 🎯 intent.


Let’s say you are a 👷🏻 developer who cannot do a 1031

but want to claim that this property was an investment,

the IRS will look at all the facts.

Holding the property for ❷ years without doing anything to it

can make a good case that you didn’t buy it to develop,

but rather to flip.


The moral of the 📖 story is 

don’t flip out from everything you hear,

from 👤 people who don’t know.

3,500 years ago the Jewish nation

The Jews left Egypt and spent 

40 years roaming the 🏜 desert wilderness.


What kind of freedom did they achieve?

🏝️ Location Freedom?

Not by a long shot!


💲 Financial Freedom?

They never went to bed

 with any 🍟 food for tomorrow,

only hopes and prayers

that the Manna would fall the next day.


⏳ Time Freedom?

Spending days and nights

 studying the 📜 laws of G-d,

did not leave them much time

 to work on their 🎾 hobbies.


So what kind of freedom did they obtain❓ 


True 🕊 Freedom!


The three ⛓ chains that shackle us are

🤢 Jealousy, that keeps us focused on outdoing our neighbors and peers
🎖️ Honor, that shapes our goals, not the ones we believe in, but the achievements we think will impress others
🛳 Pursuit of the Material, that gives us no peace an no time to enjoy

All these three are rooted in 😁 Ego!


On Passover we avoid leavened 🥯 bread, Hametz

and eat unleavened bread, 🫓 Matzo.

The leavening process represents ego,

as we add nothing to ourselves

only 🎈 inflating our own self importance.


Ridding ourselves of this ☣️ poisoning

Here we are once again the day after Jerome Powell has spoken.


While interest rate stayed the same as expected, his word choice and nuances are what we were holding our collective breath to hear.


So what did you hear?


🚩 The possibility of raising interest rates was mentioned, although in a dismissive non-likely way, but again, its mere mention speaks volumes.

🚩 Couple that with troubling data and cautionary words from unbiased non-government experts like Jamie Dimon, who are preparing for rising interest rates and possible stagflation..

📍 Inflation persists but mostly not because of our wealth and success, but rather because of government spending, and geopolitical issues.

📍 The economy is slowing, while unemployment is being held up for the most part by government hiring and a few expanding industries, whereas most sectors are laying off employees or barely remaining above water.

📌 All this conflicting information is causing a bubble, not in the traditional sense of a red hot economy, but one where any little prick can blow the whole thing up in a minute.

🤔 You also need to wonder how much of the numbers are being held up with smoke and mirrors due to an election year.
