Everyone is panicking about the NY LLC Transparency Act. Here’s the truth the lawyers won’t say.

I’m not a lawyer, which means I can afford to say what they won’t.
Everyone is scrambling because, on paper, this thing hits January 1.

Here’s the reality.
It’s not happening now… 
and it may never happen.

Why?

Because the entire law was built on federal CTA definitions that no longer exist.

When the CTA imploded, so did the New York statute.
Albany tried to fix it in June, but the amendment still hasn’t been sent to the Governor.

No transmission. No signature. No regulations. No portal.
No way to enforce anything.

The State literally has no machinery to make this law real.
And it may not even have the will. 

This entire law began as a political power move after the federal government refused to give states access to BOI data.
Okay we are past that now, kids.

Let’s say I’m dead wrong about all of this.

No problem.

Even if the Governor signed tomorrow, New York would still need to build an entire reporting system from scratch.

FinCEN took two years with federal funding. New York moves slower.
And enforcement for existing LLCs isn’t scheduled until 2027.

So why the panic?

Because lawyers are hedging, waffling, and telling clients to “prepare,” 
without mentioning that the law and the infrastructure doesn’t exist.
Not today. Not next month. Maybe not ever.

And if I’m dead wrong about that too?

Still no problem.

Here’s the part no one else will say.
Even if Albany demanded filings tomorrow morning, 
the BOI report takes minutes to file.

During the CTA chaos, law firms, accounting firms, and overnight CTA popup companies charged eye-watering fees.

We refused to do that. We were half to a third of their cost, and for bulk work, a fraction of it.

And through that entire storm, we were the calm voice guiding thousands through compliance without panic or drama.
