My  projects included drafting and negotiating complex technology and outsourcing transactions (including IP, data privacy and AI provisions therein), Terms of Use and related documentation for web-enabled service offerings, DPAs and privacy policies, as well as collaborating with in-house counsel on development of AI Governance Policy, development and maintenance of memorandum on laws restricting use of AI in automated employment decision making tools and general comparison of global AI laws and regulations, and awaiting certification testing through IAPP's AIGP program. Other projects have included implementing data privacy compliance measures for clients to address evolving US laws and regulations and measurably increase compliance with privacy laws addressing marketing practices across Europe and Canada.  Also devised solutions for significant legal compliance matters, ranging across ESG, OFAC and anti-bribery laws. I stepped in to manage the year-end volume spike for a SaaS company, addressing transactions across US, EU and AU, ancillary services agreements and DPAs and managed commercial transactions for other equity-owned companies at the same time. I continued to support data privacy compliance measures for former client, including responding to DSARs and expanding use of OneTrust. I have also drafted documentation for funding rounds for start-ups, developed insurance and commercial transactions playbooks, and crafted DPA guidelines across various companies.

Consulting Attorney

Pantheon Systems, Inc.

At Pantheon, I led and mentored growing team of elite contract managers in drafting and negotiating client subscription, strategic partner and vendor agreements in adherence to progressive risk guidelines and a 24-hour turn-around SLA, working under the former TaskUs Head of Legal.  I also initiated a privacy and compliance program for the unicorn company, including privacy and anti-corruption/anti-bribery training, OFAC compliance, and sub-processor and vendor DPA compliance and auditing.  As part of my role, I also managed active litigation and collections matters to successful resolution and implemented insurance solutions to address evolving risks of rapidly growing company. I engaged in sell-side diligence in connection with a major funding round with SoftBank. 

Key accomplishments included:
- Achieved overall decline in contract risk, as measured by progressive risk scoring and risk mitigation techniques.
- Conceived new subscription form for education and government entity verticals to address unique risks and issues.
- Kickstarted data privacy program by originating data mapping and data privacy impact assessment processes.
- Significantly reduced privacy risk exposure by eliminated stale personal information constituting 80% of database.
- Drove efforts to improve data privacy maturity from "reactive" to "proactive" within 6 month window.
- Spearheaded evaluation and selection of OFAC screening tool and implemented process for resolving false positives.
- Originated process for evaluation and selection of privacy management tools and oversaw successful implementation of modules.

Assistant General Counsel, Privacy and Compliance

TaskUs, Inc.

At TaskUs, I was responsible for managing a high performing team of 20+ attorneys and contract managers.  I executed a risk management framework to deliver a 24 hour turn around time SLA.  I also designed and implemented casualty and financial lines insurance programs such as D&O and Tech E&O/Cyber Risk insurance.  One of my main roles was to oversee commercial sell-side diligence for a Blackstone change in control event. I successfully implemented an efficient insurance solution to mitigate emerging wellness risk in conjunction with content moderation services.  I led the evaluation, selection and implementation of a the company's first CLM tool.

The following are some key contributions from this role:
     -  Reduced over 50 contractual and operational risks while interpreting preliminary audit findings in connection with company's single largest client.
     -  Accomplished $8M+ in revenue and over $10M in contract dispute resolution through implementing robust risk management techniques.
     -  Improved vendor contract compliance from 10% to 92% and launched initiatives for continuous 
         compliance.
     -  Played a pivotal role in transforming top three client from a per hour to per unit pricing model.

Senior Director, Global Commercial Contracts

Apple Inc.

Working at Apple was another great opportunity to accelerate my career growth.  Here, I was accountable for supervising a team of attorneys as insurance and risk transfer specialists, and expanded my scope to include broad creation and negotiation of complex commercial agreements, including licensing, SaaS, sales, construction, leases, professional services, and benefits. I proactively conducted M&A due diligence and carried out integration activities.  I leveraged strong instructional skills while delivering effective global training on contractual risk allocation through presentations and playbooks.  I advanced contract forms to employ best practices and assure compliance with changing laws. I secured engagement of outside counsel and managed staffing, billing and budget matters.Below are some selected contributions:
     -  Orchestrated and negotiated master agreements, SOWs and SLAs for manufacturing and supply of 
        goods and services in connection with mapping, autonomous driving technology, and virtual 
        assistant products.
     - Aligned claims with insurers and service providers to enhance recovery of $10M+ in defense and 
        indemnity expenses for bodily injury and personal injury claims and large credit loss without resort 
        to litigation.
     - Worked closely with a VP and played a cornerstone role in developing multi-billion dollar 
         construction agreements for Apple Park campus, London campus, and worldwide data centers, and 
         developed self-insurance language for data center projects. 
     - Ratiionalized sales and distribution forms internationally for Apple and AppleCare products to 
        ensure compliance with revenue recognition principles and insurance regulatory matters.
     - Devised and implemented insurance policy wording, including General, Automobile, D&O and 
        E&O/Cyber Risk to attain coverage for evolving risks and technologies.

Insurance Law Group

This role empowered me to transition fully to a transactional practice and develop comprehensive knowledge of a multitude of contract types, while also focusing on insurance wording and coverage matters.  I collaborated with legal, finance, tax, risk management, sourcing and trade compliance specialists across the globe to secure broad spectrum of contracts, including indirect procurement, OEM, ODM, logistics, leases, construction, data center services, professional services, sales, licensing, SaaS, cloud services, and marketing and events on behalf of Fortune 500 clients.  One of my major tasks was supporting Cisco Systems, Inc. as an outsourced member of Global Risk Management.  Among the projects for Cisco, I played a pivotal role in the development of new forms for logistics, lean manufacturing supply chain, HaaS, facilities management, and on-site clinic and pharmacy operations.  I also heavily supported in-house counsel at Mattel, Inc. in various types of contracts, including motor sport stunt events. I supported other key clients such as Pearson, Southern California Edison, Ingram Micro and Seagate in contracting and development of playbooks and guidelines.  Below are some key achievements from this role:

     - Restructured standard marketing and events templates to incorporate more balanced terms within company's risk tolerance to alleviate 90% of push-back.
     - Experienced in M&A contract negotiation, due diligence, and integration support, saving 
       $250,000+ in single transaction on insurance premium.
     - Drafted and supervised contracts for motor sports stunt events, e.g., agreements with venues, 
        talent and engineers, as well as releases of liability for participants and attendees, safety plans, and developed insurance programs.
     - Instigated pre-litigation solutions for complex claims, including D&O liability, enabling recovery of $300M+ in defense and indemnity without litigation.
