I came across last article of Lenny Rachitsky about raising Seed rounds and I thought it would be very valuable to gather the most important insights 👇 

Raising a Seed Round 101: Key Insights from Founders of Notion, Figma, Ramp, and More:

1. Why Raise a Seed Round?
Scale: Aim to build a large, enduring company.
Control: Comfortable with 10%-20% dilution and external input.
Funding: Need external capital to build a competitive product or scale faster.
Key Insight: If you don’t need VC, don’t raise too early—focus on profitability.

Mark Zuckerberg only owns 13% of Meta’s stock but he holds over 50% of the total voting power 🤯

After being pressured to sell his company in 2006, he realised he had to secure his position in the company.

How and when he did it👇

Mark Zuckerberg secured supervoting rights through the implementation of a dual-class share structure in Facebook's corporate governance.

This structure created two types of shares:

- Class A Shares: Held by public investors, each share carries one vote.

- Class B Shares: Primarily held by Zuckerberg and early insiders, each share carries ten votes.

By holding a substantial number of Class B shares, Zuckerberg obtained majority voting control over Facebook, allowing him to influence corporate decisions significantly more than his economic ownership percentage would suggest.

When Zuckerberg Obtained Supervoting Rights

The dual-class share structure was established prior to Facebook's initial public offering (IPO) on May 18, 2012. 

In the lead-up to the IPO, Facebook restructured its share classes to ensure that Zuckerberg would maintain control after the company became public.

Pre-IPO Period (2010-2012): During this time, Zuckerberg's existing shares were converted into Class B shares with supervoting rights.

At the IPO: When Facebook went public, the dual-class structure became effective, solidifying Zuckerberg's control through his supervoting shares.
