An investment memo is a clear and concise articulation of the key components of your company and what the rationale is for investing in it.

Writing one helps clarify your company’s story and pitch. VCs also write investment memos of their own, so doing the work for them is a way to incept your vision of the memo into their brains.

A memo is particularly effective if you can write well. It stands better on its own as the deck (sent ahead of time) can miss context provided by your voiceover.

𝗦𝘁𝗮𝗿𝘁𝘂𝗽 𝗘𝗾𝘂𝗶𝘁𝘆 𝗶𝘀 𝗡𝗼𝘁 𝗖𝗮𝘀𝗵

Early-stage founders often make the mistake of treating equity like cash. It’s not.

Let’s say you’re a Series A founder (valued at $40M) trying to hire a top engineer. Instead of presenting equity as:

🚫 𝗠𝗶𝘀𝗹𝗲𝗮𝗱𝗶𝗻𝗴:
- Salary: $166,000
- Bonus: $8,000
- Equity: “Worth” $26,000

Try this instead:

✅ 𝗛𝗼𝗻𝗲𝘀𝘁:
- Salary: $166,000
- Bonus: $8,000
- 4-Year Equity Grant: X shares (0.078% of outstanding shares)

At Series A, the most common outcome for equity is $0. This makes competing with Big Tech’s “cash-equivalent” equity tough, but founders must focus on what really matters—mission, learning, and ownership.

Equity can be a game-changer, but it needs to be explained clearly. Great founders invest in educating their teams on equity so employees can make informed decisions.

For candidates:
If your offer only shows the number of options and no share count, don’t sign. Know your actual ownership percentage first.

The top 4 spots? All belong to different Indian Institutes of Technology (IITs):

🥇 𝗜𝗜𝗧 𝗗𝗲𝗹𝗵𝗶 leads with 16 US unicorn founders, including Jyoti Bansal, founder of AppDynamics.

🥈 𝗜𝗜𝗧 𝗕𝗼𝗺𝗯𝗮𝘆 follows with 14, featuring Vijay Krishnan, co-founder of Turing.

🥉 IIT Kanpur ranks third with 12, home to Ajeet Singh and Dheeraj Pandey of Nutanix.

4th place goes to 𝗜𝗜𝗧 𝗠𝗮𝗱𝗿𝗮𝘀 with 11 founders, and 5th to 𝗕𝗜𝗧𝗦 𝗣𝗶𝗹𝗮𝗻𝗶 with 10.

What’s interesting? 

Of the 165 US unicorn founders from Indian universities, 81% studied either engineering or computer science, showcasing India’s strength in applied sciences.
