SaaS Acquisitions in 2025: What’s Changing?

The M&A landscape is shifting, and SaaS startups that understand the trends will have the best exits.

Profitability matters more than ever – Buyers are prioritizing well-run, growing, and profitable companies. Startups with 40%+ profit margins attracted an average of 30 buyers.

Multiples vary based on size and growth – bootstrapped SaaS startups (under $1M TTM revenue) typically sell for 3-5x net profit, while larger SaaS businesses see a wider range based on market position, retention, and scalability.

Buyer demand is rising – Deal volume was slow in early 2024 but surged in the second half. Buyer messaging increased, showing stronger interest in larger and high-quality SaaS deals.

More buyers, better multiples – 38% of offers in 2024 came from buyers with verified funds, a 27% increase from the year before. More serious buyers mean more competition and stronger valuations.

Larger SaaS acquisitions are setting records – A mobile app building SaaS was acquired for $5M at a 10x profit multiple, with over 100 interested buyers. A content quiz site with $8M in revenue sold for $4.1M at a 4x profit multiple, showing strong demand for high-traffic businesses. Another social media contest app with 10,000+ customers and 90% net profit margins was acquired for $7M at a 4.7x multiple, after receiving 118 buyer conversations before closing.

Strategic buyers are shifting priorities – They now focus on both cost savings and new revenue opportunities, not just one or the other.

SaaS founders looking to sell should focus on profitability, scalability, and differentiation. The best deals go to businesses that are built to last.
