Phoenix SMB Investor | AZ Digital Solutions Director | Host of The Inflection Podcast

It's been a while since I started as a Dada at Dad but with the addition of another precious lil Munchkin some months ago, I figured I'd throw it here. 

Being a parent is one of the most challenging and yet fulfilling roles. Shout-out to all the parents holding it down with probably the most important jobs ever!!

Months ago, I bought my first cleaning company, Shipman Cleaning Co, A 12-year-old small biz offering commercial and residential carpet, tile, and upholstery cleaning. 

200k SBA loan (147k to the seller and then working cap)

In November, we started the process for another acquisition of a cleaning company - Found via BizBuySell 

Funding:
SBA 985k (850k to seller with 50k injection from me/Investors + working cap). 

Financials at a glance:
Biz was doing 570k in revenue with a 330k cashflow.

Process:
I had to outreach to multiple banks until one shared a loan proposal letter that made sense.

The process began. 
The bank did its thing by stress testing and looking at the finances to make sure it could support the loan.
They could ✅

Some observations:
- Banks tend to look from the lens of ‘can this business cashflow support the loan payments?’
- They check your management experience, team and ability to be able to run something like this as owner or manager
- Other income available in case you are unable to pay yourself from the acquired business for a while (good to note this)
- They are not as focused on other aspects as much like the quality of earnings analysis etc

Lessons:
- NEVER rely on the bank’s analysis alone
- I had to square things away with some investors to raise 25k and took waayy long to start the formal due diligence process. Should have started the due diligence process right away.
- Hesitation and analysis paralysis will kill a deal before it starts or set you back in time and resources wasted

I'm so glad we used SMB diligence eventually (link in comments) for the Quality of Earnings analysis:
- Overview of recent financial performance
- Analysis of growth drivers and projections
- Cost and expense analysis
- Working capital health
- Balance sheet health and capital structure
- Relevant ratio analysis

We ultimately backed out of the deal as there were too many questions we had unanswered to help us determine that the business could support 
1. Loan payments 
2. Pay for investors 
3. Pay for myself

Too risky.

My big regret is not starting the QoE process sooner. Would have saved a ton of time and effort for my team and also the seller. 
Good lesson.

This is insane 😱 !
We recently reduced the number of unpaid invoices each month at Shipman Cleaning Co by ~79%!

For the past 6 months, Katie Cawton and I have been working with the team to streamline ops and fix some pesky issues with processes that were affecting cashflow. 

One of those issues was the number of open invoices at any given time. The way things were set up before we acquired last August, invoices were sent after jobs were completed. However, some things like

- Up to Net 40 in some cases (paid 40 days from receipt)
- Customers mailing us checks 
- Automatic system reminders (which went to spam sometimes)
- No way for techs to deposit checks with their phones 

All of these led to about 10k of open/unpaid invoices monthly. 
Too expensive and not sustainable.

Some fixes we implemented 
- Revisited agreements to shorten payment agreements as much as possible
- Revisiting contracts and aligning with customers to use ACH, payment portals, or other p2p like Zelle.
- Manual follow-up on invoices sent (to ensure delivery)
- Upgrading our field service system to allow techs to deposit checks right away.

These fixes have brought unpaid from hovering around 10k to 2k. 

For a service business, these numbers are huge... maybe not Megalodon huge, but still, you can feel the difference immediately.

We met years ago and it is great to see them continuing to build and iterate!

When you think about owning a cleaning business, “fun” might not be the first word that comes to mind lol 
 
However, it has been a lot of fun to experience the unexpected joy of transforming a space.

It's priceless to see a customer’s reaction when we take something from "probably needs replacing" to "wait, that’s the same carpet?!"

I am considering changing my title to Chief Joy Officer!

Meeting with other FaithTech city leads, leadership, and advisors was an incredible opportunity to strategize for the upcoming year. 

This movement has been life-changing for me and has painted a picture of the amazing things that can happen when folks come together to build redemptive solutions that solve real problems. 

Yvonne Carlson 🚀  board member of FaithTech has been an incredible blessing to many and has helped offer very timely advice for key moments and inflection points. 

Andrew Esparza has been an incredible co-lead for Phoenix and has been doing amazing work with Kingdom Analytics  Analytics! The first time I saw one of his detailed psychographic reports, it was like magic and I was mind blown 🤯 !

We recently had a maid service come out to our house for a cleaning. We had scheduled it weeks before. 

On the day of... crickets. 

20 minutes in, I decided to call to check as we were wondering if they'd show or not.

Turns out they were on their way and 5 minutes out.

They came and ended up doing a phenomenal job. 

It got me thinking though. 

For service businesses, little things like a text or email to 
- confirm scheduled date and arrival window
- confirm arrival time or ETA on the day

all goes a long way to build a positive customer experience.

📢 The biggest shift in business ownership is happening right now!

40,000 Baby Boomers retire every week. 
Over the next decade, millions of businesses will change hands—some will be sold, some will shut down, and some will be passed to the next generation.

But here’s the challenge: 
🔸 Many owners don’t have a succession plan. 
🔸 Some businesses are too dependent on the owner. 
🔸 Others will close their doors simply because no one steps up.

This is the Silver Tsunami in a nutshell. 
You will hear a lot more about this term in the coming years. 
 
It represents an incredible opportunity for entrepreneurs, investors, and strategic buyers. 

Instead of starting from scratch, you can acquire a profitable business with customers, cash flow, and employees already in place.

How to be a pest on LinkedIn...


"Did you see my last 6 messages" 

"Our AI-powered solution will..." 

"Hello, are you there?" 

"I am assuming you don't want to talk" 

"I get it, you are busy, but ..." 

"I have a perfect solution for <company_name>" 

"I can help you get customers on repeat" 


Messages like the above and many other permutations will help guarantee that you are a royal pain. Ideally rage send right after you connect with someone.

Everyone chases tech startups—but there are other options-- like in boring, profitable service businesses.

Businesses like:
✅ Cleaning & janitorial services
✅ HVAC & plumbing 
✅ Landscaping & maintenance 
✅ Car washes & auto detailing

These businesses print cash, but many are being sold at a discount because retiring owners don’t know how to market them properly.

That’s why I focus on service-based acquisitions. 
These businesses are: 
✔ Recession-proof 
✔ High-margin 
✔ Recurring revenue models

If you can streamline operations, build an excellent team, and keep things running lean, it is incredible what you can do to scale these businesses.
