I do a fair amount of plaintiff-side workplace sexual harassment and sexual assault cases. And virtually all of these cases start with me sending a demand letter to the company on the other side. I don't take the nickel and dime cases. I don't take the close calls. I take the most egregious ones. I'm talking about sexual assault and even outright rape. It's that ugly. And in virtually all of these cases, the company on the other side brings in their fixer. A lawyer who the company has had a relationship with for years. Outstanding credentials. Usually a parter at a large, prominent law firm. These lawyers are often on a true retainer (as in paid a monthly fee just to make sure they are available). Or they are paid a substantial flat rate for resolving disputes like this. These are very successful, high-caliber attorneys. They have basically reached a point in their careers where they act as crisis counsel to big companies. And you know what? Almost always they tend to be outliers in the legal profession in terms of personality--- In that they are nice, personable human beings who are reasonable, easy to work with, easy to talk to, naturally good with people. A far cry from the typical social rejects one often finds in the legal profession and in BIGLAW in particular. Is there something to that? Yeah, of course: Being a decent, reasonable human being - or at least able to convincingly act like one - is also valuable. This doesn't mean you always have to be Mr. Nice guy. In fact, you might be super nice one day and absolutely ruthless the next--- as appropriate. And: knowing how to talk with people and relate to basically anybody is an incredibly valuable skill. The deeper you get into any arena where most people are social rejects, the more valuable that skill becomes. But it's almost an innate skill. You're either cool with people or not. You can either have a full-blown conversation with that random stranger standing next to you in line at the grocery store or you can't. And it doesn't matter about race, age, gender, religion--- hell, they could be wearing a Dallas Cowboys jersey and you could STILL have a nice chat with them. If you're that sort of person.

Use easy to understand language when explaining legal concepts to family law clients. They are trying to process a separation, stressful circumstances, and information about legal claims all at the same time. Lawyers can make things a bit easier by simplifying concepts. #law #lawyer #familylawyer

So, I just finished Partner Track, a current top 10 Netflix show. I had to watch it because when do you ever see a popular show about corporate IP attorneys like myself? Putting aside all the diversity and equity inclusion themes which are a major subject, I couldn’t help but laugh over much how they got wrong on the practice of corporate law. So for fun I thought I would help set the record straight (sorry to disappoint all you potential law school students who aspire to a glamorous lawyer life). SPOILER ALERTS 1. A sixth year M&A associate is shown falling asleep listening to a podcast about material adverse changes. Unfortunately, you are in trouble if you don’t know what a MAC/MAE is by then. 2. A couple of senior associates spend their entire Thanksgiving checking an SPA markup line by line because their redlining program is down. Such a waste of billable hours… you can run a redline in Microsoft Word, you know. 3. They seem to mix up signing and closing. No way you are negotiating an SPA for closing in a $2.9 billion company acquisition (you would almost certainly need a delayed closing for antitrust clearance). 4. Parsons Valentine touts itself as the gold standard in M&A yet they allowed a “ring fence” in the IP reps section. Their IP lawyers should have taken that out. (And all those jokes about pen testing reps were so awful.) 5. Yes, senior associates brief partners on red flags. But that generally doesn’t happen on private planes to Paris. There is email for that. 6. Two senior associates don’t single handedly run a $2.9 billion acquisition. You typically have a huge team, maybe 20 or even 30 lawyers. M&A associates rely on specialist teams to address real estate issues, trade sanction issues, etc. And no way a senior associate would diligence boxes of documents or draft up the NDA — you got juniors or even mid-levels for that! 7. Why is a corporate IP attorney also doing a depo? 8. As a senior M&A associate, you don’t just casually peruse documents on your stomach in your office gazing at the Manhattan skyline. You gotta work on your SPA markup, alone in front of your large dual screen monitor and cold pizza, while badgering specialist teams to send in their portions of the diligence memo. 😊 I could go on and on… #PartnerTrack

    There's no greater feeling as an entrepreneur than when you realize your marketing is working. On Monday, I had dinner with a friend and client who posted a plug for The Write Stuff Agency and a photo of us on his Instagram. By the next day a contact of his had reached out, asking to speak with me directly about my services. Last night I attended a lawyers' social, even though I'm long since out of practice, to network and catch up with old and new friends. The wonderful Christopher K. (a brilliant networker in his own right) walked up to me and said "You're the storyteller! I follow your content!" It can be hard to measure your impact in metrics sometimes, especially trying to convert views and clicks directly to revenue.     I just heard that a renowned SAN in Enugu pays his lawyers under him N35k a month. He only has two lawyers left that come to work by 8am to 5pm. This man drives two Mercedes Benz worth 30 million each and owns one of the biggest mansions in Enugu. This should be a crime.

    Sometimes the best-intended plans fall through. And that’s okay. I’ve had plans for months to launch a B2B marketers content creator house in October. 3 days of content creation with some of the most creative marketers around. Unfortunately, it’s being postponed. To spare you a long story, I got set up with terrible lawyers who didn’t end up protecting me regarding contracts for both creators & sponsors. I also ran into issues on the financial side in setting things up. Things took a lot longer than they were supposed to, and there would’ve been no way to make this happen in October. All 12 creators are still in, and we will try to take two late next summer or early fall. Appreciate all the support. We’ll come back stronger than ever. Have a great weekend! ✌️

    If you don't have a will, make it now. Holographic, online or see a lawyer. Just do it. I have a client who passed away with a company holding a lot of assets. No will. One spouse and one minor child. It's a mess as some assets go to the wife and some to the minor child by operation of law. You need to lawyer up and deal with a lawyers office for the minor child to ensure it's equitable. A potential prepayment of taxes. It takes time for an administrator to be appointed to access funds, especially worse if they don't have much outside the company to begin with. It keeps going. All they had to do was write on a paper (holographic proper) they leave everything to their spouse and save an inordinate amount of time/money on professionals. So sad.

    The legal and tech worlds are nearing an inflection point.   I call it the tech inflection.   Lawyers especially have a bad habit of thinking that something is hard or complex because it needs to be that way. Lawyers often make things more complex than they need to be.   The tech inflection describes the moment when you acknowledge that something challenging need not be so challenging. For example, before services like Uber, people just accepted that getting from A to B was challenging. After Uber, people understood that getting from A to B could be and should be easier.   The same concept applies to the legal industry and the delivery of legal services. Tasks traditionally done by humans can now be automated and as a result be done be performed more accurately such as the creation of a basic will, the completion and processing of an intake form, or the creation and review of a contract.   It can be hard to break out of complacency and recognize when things have changed, but technology isn’t waiting for you to catch up; it has moved on without you. The best way to keep up now is to avoid losing sight of where technology is and where it is going.   This demands acknowledging that you don’t know everything, be willing to ask for help and support when needed, and make sure that you are engaging with the technologies you currently use and develop awareness of technologies that you could be using.   I urge all of you to take an active role in defining how you work and why. #legaltech #innovation #law #business #learning
